# Stock Pocks Genesis: buyer terms for the V6 sale **Status:** these are the final terms, dated 2 October 2026. The only version bound to the sale is the text published at https://genesis.stockpocks.com, whose keccak256 hash equals the sale contract's `termsHash()` (section 23). - **Supersedes:** every earlier draft or review of these terms. None of them is part of these terms. - **How the contracts identify these terms:** the sale contract stores `termsHash()`, the keccak256 hash of the exact bytes of the final version of this document. Every bid and every whitelist claim must repeat that hash. Section 23 explains how it is computed. Where this text and the deployed contracts differ, the contracts decide what happens on chain. Report any difference through the contact in section 1. ## 1. Who you are dealing with - **Operator:** Stock pocks LTD, an International Business Company in the Seychelles, registration no. 253144, registered office 306 Victoria House, Victoria, Mahé (the "operator", "we", "us"). - **Contact:** privacy, support and legal requests go to info@stockpocks.com or through our Telegram support bot, @stockpocksbot (send /bug). Email sent to info@stockpocks.com is forwarded to our team's Telegram and kept for 30 days. Nobody from the project will ever ask for your seed phrase or private key, or ask you to send funds to an address given in a direct message. - **Official addresses (anti-phishing).** Our only websites are stockpocks.com, play.stockpocks.com, genesis.stockpocks.com (the Genesis sale page) and store.stockpocks.com (the PockStore). Any other domain is not us. PockStore trading opens as set out in section 17. Only stockpocks.com, play.stockpocks.com, genesis.stockpocks.com and, from the PockStore's opening, store.stockpocks.com will ever ask you to connect a wallet, sign something or pay. If anyone else asks, it is not us. Do not reply. Report it to our Telegram bot, @stockpocksbot, with /bug. Our only official accounts are @stockpocks on X, Instagram and TikTok, our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1) and our Telegram bot, @stockpocksbot. Our only email address is info@stockpocks.com, and we never email or DM you first. The official sale page is https://genesis.stockpocks.com. Our only interface for bids and whitelist claims is that page. It is separate from the Stock Pocks game, and it checks the sale's policy hash in your browser before it lets you claim or bid. The game never takes bids or whitelist claims for this sale, and never asks you for a USDG approval for it. The only official sale, whitelist and payment contracts are the ones listed on the official sale page. We never send a contract address, a claim link or a payment address by direct message, email or reply. Anyone who does is not us. Do not use an address from any other source. The only exception to these rules is an over-the-counter purchase of team POCK (section 13), which only a buyer who approached us first can make: that buyer confirms its purchase to us in writing and pays only the team Safe address published in these terms (section 12a), and we never send it a payment address by email or message either. - **Official PockStore.** After the sale is settled, the only official place to list and buy Genesis Pocks is the PockStore at https://store.stockpocks.com/, from its opening (section 17). It uses only the reviewed Stock Pocks marketplace contract, whose address is listed there and at https://genesis.stockpocks.com/info/#contracts. To list or buy there, your wallet approves that marketplace contract for your Genesis Pock or for the USDG price. Never approve any other address for them. Anyone who offers you another store, marketplace or approval address is not us. - **Privacy on the sale page.** The official sale page reads the chain from your browser through the RPC operators named on that page (at launch, Robinhood's public RPC and Alchemy), which see your IP address and the addresses the page looks up. Everything your wallet does on chain is public. - **Chain:** Robinhood Chain, chain id 4663. Payments are in USDG at `0x5fc5360D0400a0Fd4f2af552ADD042D716F1d168`. - **The contracts:** the sale is the `GenesisAuctionV6` contract whose `termsHash()` equals the hash of these terms. Its address, and the addresses and code hashes of every contract it is bound to (including the whitelist contract, the team vault and the MOTE spend port), are published at https://genesis.stockpocks.com/info/#contracts, linked from the official sale page, before the sale opens. - **Governing law and disputes:** Seychelles law; forum: the courts of the Seychelles. ## 2. What you are buying, and what you are not A **Genesis Pock** is an ERC-721 token in the "Stock Pocks Genesis" collection (symbol GPOCK). At most **10,000** exist, all minted during the sale: 100 to the team when the sale opens, whitelist units during the claim window, and the rest in public bidding (section 4). After a successful sale each one has a randomly assigned, permanent **clan** and **art recipe**. Once on-chain MOTE is switched on, it can earn Pock-bound MOTE there (section 14). The game runs on our servers. We may change, pause or end the game or any feature. A Genesis Pock is **not**: - a share, a debt claim or any other interest in the operator, a Stock Token issuer or any company behind a Stock Token; - ownership of any pool, pool principal or fixed amount of Stock; - a right to any guaranteed payment, yield, dividend, buyback or price; - a Workshop item, or a right to any future Workshop item or feature (section 14b); - a right to any game feature, or to the game continuing. Robinhood describes Stock Tokens as [tokenised debt securities issued by Robinhood Assets (Jersey) Limited, with no rights in the underlying shares](https://docs.robinhood.com/chain/stock-tokens/). Only the six issuer contracts above and the issuer's own terms define them. ## 3. Who may buy, and how **No identity check.** The sale checks no identity, no country and no eligibility. Anyone can bid for, hold and (once the sale is settled) transfer a Genesis Pock. Its Stock fees and Stock refunds check none of these either: they are paid to whoever owns it. Whether you may lawfully receive Stock where you are is your responsibility (section 11). **No pre-registration for the public auction.** The only reserved slices are the **team reservation of 100** (section 4a) and the **whitelist**: up to 2,000 wallets, 1 Genesis Pock each, at the same clearing price as everyone else (section 4b). **Direct wallets only.** Bid or claim only from a **direct wallet**: an ordinary account whose private key you alone control. Do **not** bid from an exchange or other custodial address, a smart-contract wallet or multisig, or an account delegated to contract code (EIP-7702). The official sale page supports only direct wallets. The whitelist holds only ordinary wallets. The contract itself does not block contract callers in the public auction, so a bid from another kind of wallet is possible but unsupported and at your own risk: - refunds are paid to the address that paid, or to an address it names in the claim; - Stock fees and Stock refunds are paid or credited to the address that holds the Genesis Pock at the time, whatever kind of wallet it is (a contract may be unable to pass them on), and Stock pools accept only plain wallets or reviewed, admitted contracts (section 10); - an exchange or custodian may not credit NFTs, refunds or claims to you at all. **Limits.** At most **20 Genesis Pocks per transaction**, counted over every bid and whitelist claim in the transaction, whoever places it, and at most **100 per wallet**, including any whitelist unit. A bid over a limit fails without taking any USDG, but its sender still pays gas. With no identity check these limits are speed bumps, not a cap: one person can use many wallets and many transactions. **Insiders may not bid.** The operator, the owner multisig, the seed multisig, the operations treasury, every contract of the sale graph, and every insider address the operator declares before opening (the four release-key holders, the team wallet and affiliates, at most 64 addresses, listed at https://genesis.stockpocks.com/info/#insiders) cannot bid. **The team wallet never bids.** It is blocked from the public auction and from whitelist claims from deployment. Its 100 reserved Pocks are pre-funded before opening and paid at the same clearing price (section 4a). Whitelisted addresses are published and checked against declared insiders, and a declared insider on the list cannot claim. The contract can block only declared addresses; it cannot detect an undeclared insider or a Sybil wallet. ## 4. The contract allows it only when its pre-bid inspector confirms the whole reviewed contract graph, the team reservation can be funded, and the whitelist is set. Opening takes the team's payment and mints the team's 100 units. Whitelist claims are accepted only from the contract's `whitelistStart` (Sunday 4 October 2026, 12:50:00 UTC) until `publicStart`, even if the sale is opened earlier. If the operator does not open the sale in time, it never opens and no bid or claim is possible. No buyer money is taken before opening. A new sale would need new contracts and new terms. **The price.** The posted price falls in a straight line from 250 to 20 USDG over the 24 hours of public bidding, in steps of 0.000005 USDG. Bidding ends at the close, so the 20 USDG floor itself is never paid: the lowest price anyone can pay is about **20.0027 USDG**, one second before the close. For example it is about 240.42 USDG after 1 hour, 192.50 after 6 hours, 135.00 after 12 hours, 77.50 after 18 hours and 29.58 after 23 hours. A bid pays the posted price at the moment its transaction is included. **One clearing price.** When the last unit of the public slice sells, all 10,000 are sold. The posted price at that moment becomes the **clearing price**, and everyone pays it: public bidders, whitelisted wallets and the team. Anyone who paid more is refunded the difference (section 5). **If the public slice does not sell out** by the close, anyone can call `fixPrice` and the sale is **cancelled**, with full refunds to every payer, including the team and whitelisted wallets. **Placing a bid.** A bid names the number of Genesis Pocks, the most USDG it will pay in total, the hash of these terms and the sale's `bidPolicyHash` (a hash of every sale rule, fixed at opening, including the whitelist and the team reservation). Before the sale opens we publish the expected `bidPolicyHash` on the official sale page. Before you bid or claim, check that the sale contract's `bidPolicyHash()` equals it. If it differs, do not bid or claim. The official sale page checks this for you and stops if they differ. You must first approve the sale contract to take that USDG. Gas is extra. The Genesis Pocks are minted to the bidding wallet at once, but they show only the placeholder (section 7) and **cannot be transferred** unless and until the sale is settled (section 8). The same applies to team and whitelist units. Whitelist claims are made before public bidding, through the whitelist contract (section 4b). **Pauses.** The operator may pause public bidding at most **twice**, each time for at most **one hour**, and no pause may end later than six hours before the close (Monday 5 October, 07:00 UTC). No pause is possible before `publicStart`, so no pause can block a whitelist claim. The closing time never moves. **The operator cannot cancel the sale.** **Keepers.** The steps after bidding (price fixing, randomness, reveal, settlement and timeouts) are permissionless: anyone may call them. A small purse funded by the operator (at least 50 USDG at opening) pays a 5 USDG tip for each step. The purse is separate from buyers' money. Any unspent purse can be swept, by anyone and only to the operations treasury, only 30 days after the sale is settled or cancelled, or 30 days after `publicStart` (Sunday 4 October 2026, 13:00 UTC) if the sale never opened. ## 4a. The team reservation - **100 Genesis Pocks** (token ids 1 to 100) are reserved for the team. They are minted to the team wallet (0x29251d415a92aE6C5B2c2Fa3A58Bf44cb7d43497), which is the team vesting Safe, when the sale opens. - **Same price.** The team pays the same uniform clearing price as every buyer. Before opening, the team wallet approves 25,000 USDG (100 × 250) to the sale, and opening the sale takes it, so the sale cannot open unless the reservation is funded. When the price is fixed, the team claims back the difference down to the clearing price, like any buyer. If the sale is cancelled, it claims back all 25,000 USDG. - **Who funds it:** the team members, from their own money, not company money. - **The team never bids.** The team wallet cannot bid in the public auction or claim a whitelist unit, so it can never prop up a sellout by bidding. - **Locked until 4 October 2027.** The team will not sell, transfer, list, lend, pledge or approve anyone to move its 100 Genesis Pocks (token ids 1 to 100) before **Monday 4 October 2027, 00:00 UTC**, except into the audited time-lock contract described below. Until then they stay in the team Safe (0x29251d415a92aE6C5B2c2Fa3A58Bf44cb7d43497). The lock covers these 100 NFTs only. The lock does not change their reveal, fee rights, game use or 100 POCK airdrop, and their Stock fees are paid like any other. - **Their airdrop is team POCK.** The 10,000 POCK airdropped on ids 1 to 100 are not locked, but the team may sell them only under section 13 (the team sell rule, or over the counter under "Over-the-counter sales"), and every POCK of them sold counts toward the limits of the way it is sold. - **How the lock is kept.** At launch the lock is our commitment, not a contract rule. The sale contract cannot lock these units, and we will not add new, unaudited code to the sale to do it. Our monitor (https://stockpocks.com/team-monitor/) publishes any transfer or approval that touches ids 1 to 100. After the sale is settled we intend to move them into an audited time-lock contract that can return them only to the team Safe, and only after the date above. While the time-lock holds them, their Stock fees are paid to it like any holder's (section 11): anyone, our keeper included, can pay their fees to it or move them into its credit, and only the time-lock can collect that credit. We will use only a time-lock that can collect its credit and pass Stock on to the team Safe; its audit checks this. If the Stock issuer blocks the time-lock's address, no Stock can be paid to it: fees still on the NFTs pass with them to the team Safe at the unlock, but fees already moved into the time-lock's credit stay there until the issuer unblocks it. Moving any of ids 1 to 100 early is a breach (section 13). - **Price effect.** Reserved units (the team's 100 and every claimed whitelist unit) count toward the 10,000, so the public has to buy fewer units for a sellout. In a slow finish this makes the sale sell out earlier, at a higher uniform price for everyone (risk 21). - **Clans for ids 1 to 100.** The team's 100 Pocks are minted before the reveal, and the reveal assigns their clans and art recipes like any others. Assignment is stratified (risk 30), so they get 16 or 17 of each clan. The team holds 1% of the collection through the reveal and gains no information advantage. ## 4b. The whitelist - **What a spot gives.** A whitelisted wallet may claim **1 Genesis Pock** before public bidding, at the same uniform clearing price as everyone else. A claim reserves that unit for you. It is not a discount, and it does not guarantee that the sale succeeds: if the sale is cancelled, you get your USDG back and the unit stays a placeholder. A spot matters only if the sale would otherwise sell out before you could buy. (In the game a spot is called a "Genesis spot".) - **How spots were given.** At most **2,000** spots in total: to testers, and to players who shared a daily Roam card on X after finishing a Roam, with one spot per X account, per game account and per wallet. Claims beyond 2,000 went to a waitlist. The campaign rules are at https://stockpocks.com/share-rules/. Those X posts were made in return for a chance at a spot, and the campaign asks for them to be marked #ad. They are promotion, not independent opinion. - **Freeze and publication.** No new spots are given after **Saturday 3 October 2026, 09:00 UTC** (the freeze). Until the sale opens, we may still remove a spot that breaks the campaign rules (for example a duplicate account or a deleted post) and give it to the next wallet on the waitlist. Before the sale opens we publish, at https://genesis.stockpocks.com/list/, the final list of whitelisted wallet addresses in sorted order and the SHA-256 of that file, so anyone can check it against the Merkle root in the whitelist contract. Social handles are never published. From the opening the list cannot change: it is fixed in the sale's `bidPolicyHash`. - **Your address is public.** If your wallet is on the list, its address is published. - **The claim window.** It runs from **Sunday 4 October 2026, 12:50:00 UTC** (the sale contract's `whitelistStart()`) until public bidding opens at **13:00:00 UTC on Sunday 4 October 2026**: exactly 10 minutes. A claim included in a block before 12:50:00 fails; you pay only gas. - **How to claim.** From the listed wallet, approve 250 USDG per unit to the sale contract, then claim through the whitelist contract on the official sale page, which supplies your Merkle proof, the terms hash and the `bidPolicyHash` for you. A claim counts toward the 20-per-transaction and 100-per-wallet limits. A whitelisted wallet may also bid in the public auction like anyone else. - **Escrow and refund.** A claim escrows **250 USDG per unit** at once. When the price is fixed, you can claim back 250 USDG minus the clearing price. If the sale is cancelled, you can claim back all 250 USDG. These refunds work like every other refund (section 5). - **Claims are final.** You cannot take back a claim or its escrow before the price is fixed or the sale is cancelled. - **Unclaimed spots** are never minted early. Those units simply stay in the public auction. ## 5. Refunds - **Overpayment.** From the moment the price is fixed (and unless the sale is later cancelled), the **wallet that paid** can claim what it paid minus `Genesis Pocks minted x clearing price`. The refund belongs to the paying wallet, not to the NFT, and does not move with it. - **Reserved units.** The team paid 250 USDG per unit when the sale opened, and each whitelist claim escrowed 250 USDG per unit. Both get back everything above the clearing price through the same overpayment claim, or everything through the cancellation claim. - **Cancellation.** If the sale is cancelled, each paying wallet (public bidders, whitelisted wallets and the team) can claim everything it paid that it has not already received back. The sale cancels if: - the public slice does not sell out by the close; - verifiable randomness is not delivered within **3 days** of the price being fixed; - the reveal leaves any clan with no Genesis Pock (a safeguard in the contract; with the fixed clan counts in risk 30 it cannot happen); - settlement does not happen within **7 days** of the price being fixed. - **Pull, never expiring, never oracle-dependent.** Refunds are claimed by the paying wallet, whenever it chooses; they never expire and never depend on the randomness oracle. - **Frozen addresses.** A claim may name another address to receive the USDG, so a payer whose own address is frozen by the USDG issuer can still be paid. - **Donations** of USDG to the sale contract cannot block or change any refund, and **are lost**: USDG sent to the sale contract other than through a bid, a whitelist claim, the team payment or the keeper funding stays there for ever (there is no way to take it out). - A cancelled sale's Genesis Pocks stay on chain as placeholders forever. They have no clan, no art, no rights and cannot be transferred. ## 6. Randomness and the reveal **Source.** Clans and art recipes are assigned from a public randomness beacon: **drand "evmnet"**, run by the League of Entropy (chain hash `04f1e9062b8a81f848fded9c12306733282b2727ecced50032187751166ec8c3`, a new round every 3 seconds). The evmnet group's size, signing threshold and operator list are not published. Each round is a BLS signature on the BN254 curve that anyone can verify. No third-party randomness service is used. **Verification on chain.** We deploy our own reproducible build of the upstream open-source `EvmnetRegistry` verifier (bls-solidity) with no owner and no upgrade path, and the `GenesisEvmnetProofOracleV5` contract over it. The sale pins the oracle by its code hash. The build is published at https://genesis.stockpocks.com/info/#randomness. **How it works.** 1. After the sale sells out, anyone calls `requestRandomness`. The oracle picks the first drand round at least **24 hours** later. Unless enough drand operators collude (see below), nobody, including us, can know that round's value when it is chosen. 2. When that round is published, anyone submits its signature. The contract verifies it and derives the seed. 3. The reveal maps every token to exactly one art recipe and its clan through a fixed, published permutation of the committed catalog. The oracle needs its round to arrive at least six hours before the 3-day randomness deadline, so the request must be made within about **42 hours** of the price being fixed. Our keeper aims to request it within minutes of the sellout, and anyone else can do it too. Nobody can withhold the reveal, and there is no fallback that favours anyone. **The verifier.** The upstream BLS library is described by its authors as experimental. The verifier and the reveal path were reviewed only by AI audits that we ran ourselves; no human audit was commissioned (section 16). **What can go wrong.** If no valid proof arrives in time, the sale cancels with full refunds. A flaw in the verifier that accepted a forged signature could let someone steer which clan, recipe and rarity each token receives (it could not move buyers' money). **A colluding threshold of drand operators could learn the assignment before the reveal. If they could also control the timing of the sellout or of the randomness request, they could choose which clan, recipe and rarity some tokens receive. They could not move anyone's money.** The 24-hour wait is measured by Robinhood Chain's own clock. **The chain's operator (its sequencer) can set block times up to 4 days in the past. A malicious operator could use that to choose the reveal's clan, recipe and rarity assignment. It cannot touch funds or refunds. We accept this trust, as we trust the operator to run the chain.** Our monitor alerts if the randomness request's block time is more than 10 minutes away from real time or from the matching Ethereum block, or if that request transaction is later replaced. If the drand network stopped for days, including because a colluding threshold halted it, the sale would cancel with full refunds. ## 7. The artwork, the metadata and your licence **The collection.** 10,000 fixed artworks ("art recipes"), each with a clan, visual traits and a rarity tier, committed before the sale: - the recipe catalog hash (`catalogSha256()`): `0xc1bd87dc8a39688b1780bd8f592947d227f618d5bfa6d9edab48041647c674b2`; - the packed clan map hash (`expectedPackedMapHash()`): `0xa192a853afd5c8fa0e1bed91d5c04d281b14c820e5f9d88234c22209aa1dbe8a`; - the metadata manifest hash (`metadataManifestHash()`): `0x518fd786801a0a5a8cb2a9c7bed602e0caa21f480e0131238a2e2c457727cb69`; - the images, as one IPFS archive with root `bafybeih4h2drmohq5qmy7smnqc3gjuczmpwzvsbzkllqjywkbdjpyujq6i`; - the metadata, as one IPFS archive with root `bafybeiepoca3kytjt2kzpqmxdmcpxymyejsiwp6uoh26xr33ddueulzuvi`. These values are fixed in the contracts and cannot be changed after deployment. **Before the reveal, and forever if the sale is cancelled,** every token shows the same unrevealed placeholder, `ipfs://bafybeiaplselpj2bzdmkuu73p2yzigzfm65fdkqkhkdhashheigf63zcfq/unopened.json`. **After the reveal,** a token's metadata address is `ipfs://bafybeiepoca3kytjt2kzpqmxdmcpxymyejsiwp6uoh26xr33ddueulzuvi/.json`. The record names the artwork by its **art recipe number** (for example "Art Recipe 00001"). That number is **not** your token ID; the contract's `recipeOf(tokenId)` gives the recipe for each token. **Rarity.** Every artwork has one of six rarity tiers. Of the 10,000 there are exactly 6 Mythic (one per clan), 96 Legendary, 402 Epic, 1,002 Rare, 2,502 Uncommon and 5,992 Common. Every clan has the same ladder: 1 Mythic, 16 Legendary, 67 Epic, 167 Rare and 417 Uncommon, with 998 Common in the two clans of 1,666 Pocks and 999 in the four clans of 1,667. In each clan, the headpiece, accessory and skin each have one rare and one uncommon design; the other four are common. Below Legendary, a Pock's tier comes from those three traits: Epic has two or three rare traits, Rare has one, Uncommon has at least one uncommon trait and no rare one, and Common has only common traits. Legendary Pocks (96) have a gilded or obsidian glaze with a matching scarf and at least one diamond; Mythic Pocks (6, one per clan) have a crystal glaze, a starlight scarf and three opals. Every Pock has three gems; apart from the Legendary diamond and the Mythic opals, each is drawn separately (diamond and onyx are rare; opal appears only on Mythics). Epic, Legendary and Mythic Pocks have their own backgrounds. - **Gems.** Ruby, sapphire, emerald, amethyst and citrine are common gems, aquamarine and rose quartz are uncommon, diamond and onyx are rare, and opal appears only on the six Mythic Pocks. Apart from the Legendary diamond and the Mythic opals, the gems do not set the tier: a Pock of any tier below Mythic can carry a diamond or an onyx. Pocks that carry a given gem at least once: ruby 4,417; sapphire 4,253; emerald 4,343; amethyst 4,338; citrine 4,260; aquamarine 1,484; rose quartz 1,491; diamond 562; onyx 526; opal 6. - **In the metadata.** Each record lists its traits in this order: Generation, Clan, Body, Top Gem, Middle Gem, Bottom Gem, Headpiece, Textile, Accessory, Skin, Background and Rarity. The Rarity trait is the tier: Common, Uncommon, Rare, Epic, Legendary or Mythic. The Background trait is Cream for Common, Uncommon and Rare Pocks, Aurora for Epic, Gold Leaf for Legendary and Night Sky for Mythic. The Top Gem, Middle Gem and Bottom Gem traits name the three gems, and a glazed Pock's Skin trait is Gilded, Obsidian or Crystal. - **Nobody chooses it.** Every token's art recipe, and so its tier, comes from the same drand reveal (section 6), the same way for every token, including the team's ids 1 to 100 and every whitelist unit. Nobody, including us, can choose it, apart from the reveal risks set out in section 6. - **Rarity and MOTE.** Rarity also sets a daily MOTE rarity bonus, paid under rules published before the reveal; it has no effect on fees, level costs or anything else. **Publication.** The images and metadata are published to IPFS only after the reveal, when the metadata becomes each token's record. If the sale is cancelled before the reveal they are never published. Until publication they are not shared with third-party services. For a few hours after the reveal, while the archives are being pinned, some images may not load yet. **Storage.** The files are content-addressed on IPFS and pinned with at least two independent storage providers, retrieved and checked byte for byte through two independent gateways. IPFS content stays available only while someone keeps it pinned. We intend to keep the collection pinned for the life of the project but **cannot guarantee permanent hosting**; because the addresses are content hashes, anyone holding the files can re-publish them unchanged. **How the art was made.** The artwork was generated with AI image tools from project-owned style references and assembled from reviewed layers. Each clan has its own six headpieces, which grow from the crown in front of the head, and its own six accessories: 36 of each in all. The rarity art adds the gilded, obsidian and crystal glazes, each made from the porcelain skin of the same clan and body; the Aurora, Gold Leaf and Night Sky backgrounds; the three top-tier scarves (royal velvet with the gilded glaze, gold thread with the obsidian glaze and starlight with the crystal glaze), each recoloured from an existing scarf design; and the three gems on every Pock, in one setting placed for each body shape. Scarves that did not fit a body shape are never used: on round bodies the bandana, bow scarf, braided wrap, shawl and short cape, and on pear bodies the bow scarf and the hood. We do not claim that any artwork is unique outside this collection: similar or related images may exist or be created by others. The rendered collection differs from earlier portraits and previews shown on the website (for example, earlier crests sat behind the head and accessories were shared by all clans); what you receive is the collection identified above. **Your licence.** While you hold a Genesis Pock you may use, copy and display its artwork for any personal or commercial purpose, as long as you do not present the Stock Pocks name or marks as yours or imply our endorsement. The licence passes to each new holder and ends for you when you transfer the Pock. We keep all other rights in the art and the game. **No trademarks and no affiliation.** Stock Pocks is not affiliated with, endorsed or sponsored by Robinhood, the Stock Token issuer, Chainlink, the drand League of Entropy, the USDG issuer, or any company whose shares are referenced by the AAPL, NVDA, MU, TSLA, SPCX or META Stock Tokens. Those names and tickers are used only to identify the Stock Token series the pools hold. Clan names, artwork and metadata do not use them. ## 8. Settlement and the operations bond After the reveal, anyone can call **`settle()`** within 7 days of the price being fixed. Gross proceeds are 10,000 × the clearing price, including the team's and whitelisted wallets' units. In one transaction it: - sends **80% of gross proceeds to the seed multisig** (our Stock-buying multisig; section 9) to buy Stock; - sends the other **20% (the operations share) to the seeding contract**, which holds it as an **operations bond** in six equal clan shares. Operations is **not** paid at settlement; - creates the fixed supply of **100,000,000 POCK**: 80,000,000 go to the reviewed remainder segregator (section 13) and 20,000,000 are reserved for the six pools, **about 2,000 POCK per Genesis Pock**. Each clan's pool gets a sixth (3,333,333.33 POCK), which is 2,000.80 per Genesis Pock in the two clans with 1,666 Pocks and 1,999.60 in the four clans with 1,667. If settlement fails, nothing moves; at the 7-day deadline the sale cancels with full refunds. **The operations bond.** When a clan's pool is seeded, that clan's sixth of the bond is released to the operations treasury (0x6BfBfffda31AcBd0d22E1d1F8Fda6108E74cA4e5). Operations collects it itself, or anyone can send it on to the operations treasury (and only there), so it cannot get stuck in the seeding contract. If instead the clan is returned or closed without being seeded, that clan's sixth is added to its holders' refunds, in USDG per Genesis Pock (section 9). Rounding remainders of less than 0.000001 USDG per Genesis Pock go to operations. ## 9. The seed multisig, buying Stock and seeding the pools **Please read this section carefully. Until each clan's budget is spent on Stock, the unspent part of the 80% is held by people, not by a contract: normally for at most the 14 days after settlement, and longer only if a clan is not fully bought and the multisig has not yet returned its unspent USDG.** **Custody.** The seed multisig (our Stock-buying multisig) is a Safe at 0x3F251292d79b017283E1F007f868cD1714129607, requiring 3 of 4 signatures from four founders. It is a different Safe from the owner multisig, the Safe that holds the sale contract's owner powers (section 12a), but not different people: the owner multisig, the seed multisig and the team Safe are each 3-of-4 Safes signed by the same three founder keys plus a fourth key, and the operations treasury (section 8) and the team treasury that receives the PockStore's 30% (section 11) are 2-of-3 Safes signed by the same three founder keys. The seed multisig receives 80% of gross proceeds as USDG and holds each clan's budget only until it is spent. In this section, "the multisig" means the seed multisig. **Buying and recording.** Each clan's budget is one sixth of the 80%, so the signers spend **equal USDG amounts on each of the six Stock Tokens**: about **26,667 USDG per clan at a 20 USDG clearing price**, and up to 333,333 USDG at 250. They buy by hand, in slices during US trading sessions, spread over several sessions where a Stock Token's market is thin. Each slice is a single on-chain transaction of the multisig that buys the Stock Token on a public venue and delivers it straight into the seeding contract, which measures both the USDG that left the multisig and the Stock that arrived, and refuses the purchase unless that Stock is worth at least **97% of the USDG** at the Chainlink price at that moment. The Stock then stays in the seeding contract: it can only go into the clan's pool or, if the clan is not seeded, to that clan's holders. It never goes back to the multisig. Purchases can be made only in the **14 days after settlement** and only while the US equity market is open for the price feeds (**Monday 01:00 UTC to Saturday 00:00 UTC, not on 26 November 2026 and not on 27 November 2026 before 01:00 UTC**). Every purchase is public on chain with its measured amounts, time and Chainlink price. We post a ledger of the purchases after each trading session in which we buy, and each clan's full ledger once its buying is complete, at our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1). Each purchase's transaction on chain shows the venue it used. **What the seeding contract cannot check.** It cannot see where the Stock came from. Any Stock delivered to it inside a purchase transaction (bought on a venue, or delivered over the counter or by someone connected to the signers) is credited at the Chainlink price at that moment; only Stock the multisig itself already held is refused. The 97% rule applies to each purchase at the price of that moment. So if the signers misused the unspent USDG to buy Stock early, outside a recorded purchase, they could deliver it later when the price was higher, and keep the difference if the clan were then returned in Stock (by our estimate, about 12% of a clan's budget if the price rose 10% and later fell back). Doing so would breach the signers' duty of custody, but the contracts cannot prevent it. We commit that the signers buy only on public venues we fix in advance and never spend a clan's USDG outside a recorded purchase. Our monitor alerts at once on USDG leaving the multisig outside a purchase, on Stock held by the multisig, and on any purchase whose counterparty is not one of those venues. **Seeding.** **Anyone may seed a clan** (our keeper does it automatically) once its whole budget has been bought and the Stock held for it is worth at least **97% of the clan's USDG budget** at a Chainlink price published **after the last purchase**. The pool then receives that clan's sixth of the 20,000,000 POCK reserved for the pools (**3,333,333.33 POCK**, about 2,000 per Genesis Pock of that clan; section 8) and all of that clan's Stock held by the seeding contract, and is **locked permanently**: there is no LP token and no way to withdraw the liquidity. The clan's fee rights activate, and the contract publishes the accounting. **Prices (Chainlink only).** Stock is valued only by the six Chainlink Stock feeds and the Chainlink USDG/USD feed pinned in the value-check contract, and nothing else. A pool or venue price can block a purchase but never pass one. There are **no fallback price keys**: nobody can post a price. Prices older than **26 hours**, a Stock whose price oracle its issuer has paused, or USDG more than **1%** away from 1 USD stop purchases and seeding until they recover; they never stop refunds or claims. The Stock feeds do not update at weekends, so purchases and seeding happen on weekdays. **Returns and deadlines.** - **Returning a clan needs 72 hours' notice.** The multisig can return a clan only after announcing it on chain at least **72 hours** in advance; the announcement cannot be withdrawn, no further purchases can be recorded for that clan, and the return must then happen **within the following 72 hours**, or anyone may close the clan. An announced clan can still be seeded by anyone if it passes. - **What a return pays.** If nothing was bought, the whole budget is returned in USDG. Once any Stock was bought, only a return of **all** the clan's Stock plus the unspent USDG is possible, and only while the clan cannot be seeded. - **Deadlines.** A clan not fully bought **14 days** after settlement, or not seeded **60 days** after the seed window, can be closed by anyone. A clan that is fully bought but not seeded can still be seeded until then. - **Two ways a clan ends with no notice.** (a) A clan left even slightly under-bought at the 14-day deadline (even by the smallest unit of the token) closes at once, with no announcement: its bond share goes to its holders instead of to operations, and whether the signers finish buying a clan is their decision. (b) After a clan closes, the multisig returns its unspent USDG with no on-chain notice; we commit to doing so within **72 hours** of the clan closing, and our monitor alerts if we have not. - **What holders receive when a clan is not seeded.** In every case that clan's reserved POCK is burned and its sixth of the operations bond goes to its holders, and its Stock is shared **pro rata** among its Genesis Pocks. Each Genesis Pock claims: - USDG shares (the bond share, and the unspent budget once the multisig returns it): by the current owner, with no eligibility check; - Stock shares: by the current owner, paid to the wallet that holds the Genesis Pock, with no eligibility check, as its share of the Stock the seeding contract holds for the clan at the time of the claim; the last claimant receives any remainder. If the Stock issuer has blocked that wallet, its claim fails and the share waits until the wallet is unblocked or the NFT changes hands (section 11). - If no pool can ever activate, the company POCK allocations (section 13) are burned in full. **What the contracts cannot promise.** They bound the result, not the custody of the unspent USDG. While the multisig holds unspent USDG it can be held to these rules but not forced to act. **If the multisig neither buys nor returns a clan's budget, that clan's holders recover only their share of the operations bond (about 20% of the clearing price per Genesis Pock) and any Stock already bought for them, and lose the rest.** **Signer trading policy.** No signer of the owner multisig or the seed multisig, and no affiliate, trades a clan's Genesis NFTs from settlement until **7 days after that clan is seeded** or, if it is not seeded, until **7 days after its unspent USDG is returned**. This covers announced returns and the two exits above that need no notice. ## 10. The pools, the fees and where fees go **Six POCK/Stock pools hold all the Stock**, one per clan. There are no MOTE/Stock pools. **The fee schedule.** Each pool charges **3% for exactly 72 hours from its own activation, then 0.9% for good**. The step is fixed in the code; nobody can change, pause or extend it. **How the fee is taken.** Every fee is taken **in Stock, on both sides of a trade**: from the Stock paid in when buying POCK, and from the Stock received when selling POCK. **Where it goes.** - **75%** goes to the fee rights of that clan's Pocks (section 11). - **25%** buys POCK from the same pool and burns it. Anyone can trigger this, in steps of at most 0.5% of the pool's Stock and at least 15 minutes apart. If nobody triggers it for a while, burn share beyond one step goes to holders instead. - **Nothing goes to the operator.** **How holder fees scale with trading volume.** Holder income depends only on real trading volume and is not assured. After the first 72 hours, holders receive about 6,750 USDG-equivalent of Stock per 1,000,000 USDG of Stock-side volume; spread evenly over the six pools that is about 0.675 per Genesis Pock per 1,000,000 of volume, before any share for bred Pocks (section 11). We show this per 1,000,000 of volume and never as a yield or APY. Trading volume, and so holder fees, can fall to near zero. In our own model (28 September 2026), holder fees are highest in the first months and then fall: in every modelled path that sells out, a Genesis Pock's fees in year 3 are about 77% to 84% lower than in year 1. **The POCK/MOTE pool.** One POCK/MOTE pool, open to anyone, holding no Stock, with a **flat 3% fee on both buys and sells, taken in MOTE and burned**. It earns no POCK release or team credit. On a sale of MOTE the fee comes off the MOTE paid in; on a purchase of MOTE it comes off the MOTE paid out. The pool has no admin and no pause. It is seeded with **1,000,000 POCK** from the protocol-liquidity residual and **2,000,000 MOTE** minted once, opening at 1 MOTE = 0.5 POCK. **Who can trade the Stock pools.** Anyone can trade from a plain wallet (an ordinary account with no contract code) that sends the transaction itself. There is no eligibility check on the trader or on the address that receives what a trade pays out, which can be any address except the zero address and the pool itself. A contract or delegated (EIP-7702) wallet can trade only if it is a reviewed contract admitted in the pool factory's contract lane; a delegated wallet can never be admitted. **No router is admitted when the sale opens.** A reviewed Stock Pocks router may be admitted later, after **48 hours** of public notice in the lane; it applies the same rule to the payer on every clan pool it trades through. Trading in a clan's pool, and adding locked liquidity to it, need that clan's Stock Token to be activated in the eligibility registry, and stop while the registry's owner has paused it there or while the code at the Stock Token's address differs from the code the registry recorded for it. The Stock Token issuer can also block addresses or pause the tokens (section 12). POCK and MOTE are ordinary tokens: anyone can create other POCK or MOTE pools, but only these seven pools send fees to holders and to burns. ## 11. Fee rights and automatic payout, with no eligibility check **Accrual.** Fee rights are **attached to the NFT**. Every Genesis Pock accrues an equal share of its clan's holder fees from the moment the clan's pool activates. Bred Pocks that reach the qualifying level can later share a clan's future Stock fees: each Genesis Pock weighs 4 and each bred Pock 1, at most 666 bred Pocks per clan share fees, and bred Pocks never hold more than 10% of a clan's fee weight. **Claiming.** Only the **current owner** can claim, and the Stock is paid to the wallet that holds the Pock **at the time of the claim**. There is no eligibility check: no registration, and no contract reads the eligibility registry to decide who is paid. Fees not yet paid or credited stay on the NFT. On a direct transfer they pass with it to the new owner (see "On transfer" below); at a PockStore sale they go to the seller (below). **Automatic payout.** You do not have to claim. About once a day our keeper pays every owner the Stock fees their Pocks in a clan have earned, in one transfer to the wallet that holds them, once they are worth at least 1 USD at the Chainlink price. Anyone may trigger the same payout on chain; it can only pay you, and only what your own claim would pay. The payout is an operator service, not a promise: if it is late, paused or skips you, your fees stay on the NFT and you can claim them yourself at any time. If the Stock issuer has blocked your wallet, a payout or claim to it fails and your fees stay where they were, on the NFT or as your credit. Receiving Stock may have tax or reporting consequences for you. **How fees accrue.** Fee rights accrue as each pool's holder fees are collected into the fee-rights contract; every claim and payout collects them first. Fees still in a pool that the Stock issuer has frozen are not yet yours or the seller's and follow the Pock. If the Stock issuer seizes Stock from the fee-rights contract, claims are paid from what is left in the order they are made, and any unpaid part stays credited to you until the contract is refilled. **On transfer.** Only the holder itself, or the reviewed Stock Pocks marketplace (the PockStore, below), can move a Genesis Pock. Approvals to anyone else, including other NFT marketplaces, do not work, so a marketplace that relies on approvals cannot sell a Genesis Pock. The holder can still transfer it directly, including to an escrow or wrapper contract, which can then move it as its holder; such transfers are not PockStore sales and skip the resale fee. On a direct transfer, fees not yet paid out or credited travel with the NFT to the new owner; fees already paid out automatically stay with the owner who received them. Anyone can also move a Genesis Pock's accrued fees into its current owner's credit (the call the PockStore makes at a sale); credited fees belong to that wallet, are paid to it by a later payout or when it claims its credit, and no longer travel with the NFT. While a contract, such as an escrow or wrapper, holds a Genesis Pock, its Stock fees are paid to that contract like any holder's (anyone can trigger the payout), and the contract may be unable to pass them on. An automatic payout does not end a marketplace listing. **The PockStore: Genesis Pocks only.** The PockStore is the official interface of the reviewed Stock Pocks marketplace, at https://store.stockpocks.com/. It is separate from the game, and it sells Genesis Pocks only. It opens about 1 hour after the sale is settled (section 17). We open it only after the POCK airdrop of every Genesis Pock (section 13) has been paid out, except a Genesis Pock held by the airdrop contract itself, whose POCK can never be paid (we name any such token in the opening post), so that pushing the airdrop does not end PockStore listings; our owner multisig then opens the marketplace (section 12a). The contracts do not enforce this order: it is our commitment. A seller lists a Genesis Pock at a price in USDG, for between 1 hour and 30 days, and keeps it until it sells. The buyer pays the listed price in USDG. The **10% resale fee** is taken from that price: the seller receives 90%, and the 10% goes to the marketplace's revenue vault, which splits it 70% to POCK buybacks and 30% to the team. The fee, the split and where they are paid are fixed in the contracts. The contracts do not buy or burn POCK themselves: we commit to use all of the 70% to buy POCK and to burn that POCK only as section 13 sets out ("Company-funded burns"). At a sale, the seller's accrued fees are paid or credited to the seller first (credited, not paid, if paying them fails, for example because the Stock issuer has blocked the seller's wallet); if neither can be done, the sale does not happen. Fees still in a pool that the Stock issuer has frozen stay with the NFT and pass to the buyer. The PockStore can open before the clans' pools are seeded: a Genesis Pock earns fees only from its clan pool's activation, and if its clan is not seeded, its refund shares go to whoever owns it when they are claimed (section 9). **What a resale binds.** When you buy a Genesis Pock on the marketplace, your wallet reads what the Pock still carries (its clan refund shares not yet claimed, which exist only if its clan is not seeded: the clan budget refund in USDG, the bond share and the Stock share (section 9); the 100 POCK airdrop; its clan status; the Pock-bound MOTE withdrawn from it (task or Roam) or spent in the Workshop or on levels; and how many births it has used) and binds your purchase to exactly that. If any of it changes before your purchase is included, the purchase fails and you pay nothing but gas. A listing also records what the Pock carried when it was listed: if any of it changes after listing (for example the seller claims, withdraws or spends any of it), the listing stops working and the seller must list again, whatever your wallet reads. New Roam MOTE credited to the Pock does not end a listing. The clan status is not part of that record (seeding and pool opening do not end listings). The sale's overpayment refund (section 5) is not carried by the Pock: it stays with the wallet that paid. Anyone can push a Pock's airdrop to its owner, which ends that Pock's listing once and can make one pending purchase fail. Your wallet should still show you these fields before you buy. **The issuer's restrictions.** Who may claim or be paid Stock fees and Stock refunds: Anyone, in any country, subject to the Stock Token issuer's restrictions below and to the law that applies to them. The Stock Token issuer's [restricted-jurisdictions notice](https://docs.robinhood.com/rhj/restricted-jurisdictions/) (read on 26 September 2026) says its products may not be offered or delivered to or for the benefit of U.S. Persons; restricts the United States, Canada, the United Kingdom and Switzerland; and prohibits Belarus, Cuba, Iran, Myanmar, North Korea, Russia, South Sudan, Sudan, Syria, Ukraine and Venezuela. The issuer may change this list. **Our contracts do not check it**, and they check no eligibility: whoever holds a Genesis Pock is paid its Stock fees, by the automatic payout or on claim, and its Stock refunds on claim. **Complying with the issuer's restrictions and with the law that applies to you is your responsibility.** The issuer can still block an address at the token level: a payment to a blocked wallet fails, and what it would have paid stays with the NFT, or as that wallet's credit. ## 12. What the Stock Token issuer and the USDG issuer can do We have **not** sought any permission from the Stock Token issuer. The token contracts do not restrict which addresses may hold them today, but the issuer keeps wide technical powers. Measured on 26 September 2026: - **One control contract for all six tokens.** All six Stock Tokens run code from one issuer "beacon". Its holders can **pause all six at once**, **block any address** (175 addresses were blocked on that date), and **replace the code of all six tokens** in one step. These powers sit with single keys, not multisigs. The issuer can also mint and burn, update the price multiplier used for corporate actions, and pause the price oracle. - **What that could mean for you.** If the issuer pauses the tokens, or blocks the seed multisig, the seeding contract, a pool, the fee-rights contract or your wallet, then purchases, seeding, trading, fee payouts and claims, and Stock refunds could stop, possibly for good. A code change could alter how the tokens behave. If the issuer seizes or burns Stock held by the seeding contract, a pool or the fee-rights contract, the loss falls on that clan's claimants, traders or fee holders: the contracts keep working (Stock claims are shared pro rata on what is left, fee payouts are partly credited, a pool refuses sales that would reach its fee buckets) but cannot restore it. Our monitor alerts on every such issuer action. - **USDG.** USDG is an upgradeable token whose issuer can pause it, freeze an address and wipe a frozen balance. A freeze of the sale contract or the seed multisig could delay or prevent refunds and purchases, and a freeze of the royalty vault halts marketplace resales. A frozen buyer can name another address for a refund (section 5). - **Price multipliers.** The Stock Tokens do not rebase; they carry a multiplier for corporate actions, and the Chainlink feeds report the value including it. While the issuer pauses a token's price oracle, its feed stops and purchases and seeding for that clan wait. - **The chain.** The chain's operator decides transaction ordering and timestamps. Messages force-included from Ethereum have failed on it before. So the operator can censor transactions, including the reveal (the sale would then cancel with full refunds). It can set block times up to 4 days in the past (section 6), and it can upgrade the chain software (ArbOS) or change gas limits without notice. ## 12a. What our own keys can still do after deployment - **Sale:** its owner cannot cancel the sale or change its price, supply, rules or terms. Before opening it binds the reviewed contract graph, declares insiders and sets the whitelist; it opens the sale; during public bidding it can pause as section 4 allows. - **Team vault:** no owner power after its one-time binding before bids. Anyone can checkpoint and release. - **Seeding contract:** the seed multisig opens and records Stock purchases and can announce and make a clan return, as section 9 describes; it has no other power there. - **POCK/MOTE pool:** no admin and no pause. - **MOTE issuer:** the MOTE policy authority makes one-time binds and a one-way activation of the daily MOTE policy. The MOTE approver can exclude a task or reject a proposed batch before it is final. MOTE withdrawals cannot be paused. - **MOTE review:** the MOTE root proposer, reviewers and signers decide which task and Roam results are accepted on chain, within the caps. - **MOTE spend port:** the MOTE policy Safe can bind, retire and rebind a Workshop spend target within the limits of section 14a. - **Levels:** every level-up also needs a signature from our level signer, a key fixed in the level contracts. If we stop signing, no Pock can level up. The level contracts' policy authority makes only one-time binds. - **Eligibility registry:** its owner can pause trading in any clan's pool at any time, by pausing that clan's Stock Token in the registry (section 10). No payout or trade in the Genesis contracts depends on the registry's per-wallet eligibility: neither its owner nor the eligibility authority decides which wallets can claim or be paid Stock fees and Stock refunds, or which plain wallets can trade (sections 10 and 11). The eligibility authority's only power over the Genesis contracts is to approve, and revoke, contract admissions to the clan pools (below). - **Pool factory:** its owner can admit a reviewed router or other contract to the clan pools, with the eligibility authority's approval, after 48 hours of public notice (section 10). The owner or the eligibility authority can revoke an admission at any time. - **Release governor:** two approve keys (both must approve) and two veto-only keys; any of the four can veto. Who holds them is set out under "Who holds the keys" below. Creator, vendor and contingency payments, and pool top-ups from the protocol-liquidity vault, need both approve keys and then wait for a 7-day public review; any of the four keys can stop one until it is carried out. They cannot veto team releases (section 13). - **Marketplace (the PockStore, section 11):** it is deployed paused. Its owner, our owner multisig, opens it, which the contract allows only once the sale is settled, and can pause and reopen it at any time. While it is paused nobody can list or buy, but sellers can still cancel their listings; reopening makes every listing that has not expired, been cancelled or stopped working buyable again at its old price. The owner cannot change the fee, its split or who receives it, and cannot change a listing or move anyone's Pock. A pause has no time limit. The owner can hand ownership to another address (which must accept it) or give it up; if it gave it up while the store is paused, the PockStore could never reopen, and Genesis Pocks could then move only by direct transfer (section 11). - **Automatic fee payout:** the operator can stop running the payout keeper (off chain). There is no on-chain pause: anyone, including you, can still trigger a payout or claim. - **Team Safe (0x29251d415a92aE6C5B2c2Fa3A58Bf44cb7d43497):** holds team POCK and ids 1 to 100. It may send POCK only to another team address or burn it, and may not move ids 1 to 100 before the unlock date except into the audited time-lock contract. It may also fund over-the-counter locks under section 13, and no other POCK may leave it. It never sends POCK to a team member or affiliate. No team address, and no other address of the team, may buy POCK. Team members' and affiliates' own POCK is outside these rules (section 13). - **Team seller (0x67B5Bb0D9f3Bc93535f12Fd408f4c19fD695c7f7):** the only address that sells team POCK into the clan pools, and only that day's allowance under section 13, after putting that day's hash on chain. The team Safe and team seller lines are our commitments, not contract rules: the clan pools do not check the allowance, the window or who sells, and accept swaps from the team seller and from any other team wallet like anyone else's; a sale outside the rule is a breach (section 13). Our monitor publishes every movement. - There is no emergency stop for MOTE withdrawals or for the POCK/MOTE pool. A bug there could only be contained off chain. - **Who holds the keys.** The owner multisig, the seed multisig and the team Safe are each a Safe that needs 3 of 4 signatures, signed by the same three founder keys plus a fourth key. The operations treasury and the team treasury of the resale-royalty vault are each a Safe that needs 2 of 3 signatures, signed by the same three founder keys. The four release keys are those three founder keys plus a fourth founder key. Where these terms call one Safe separate from another, they mean a different Safe address, not different people. So the separate Safes and the split between approve and veto keys do not protect you against these founders acting together (risk 12). ## 13. POCK supply, the insider release governor and the team sleeve The fixed 100,000,000 POCK are split as follows: | Share | Amount | | --- | ---: | | Pooled at about 2,000 per Genesis Pock (section 8) | 20,000,000 | | Protocol-liquidity residual (includes the 1,000,000 POCK/MOTE seed; the rest is burned at its end) | 10,000,000 | | Creator and world-builder grants | 24,000,000 | | Team (performance-based: released only against burns, see below) | 20,000,000 | | Vendors and partners | 15,000,000 | | Contingency | 10,000,000 | | Genesis airdrop (100 per Genesis Pock) | 1,000,000 | **Airdrop.** 100 POCK follow each Genesis Pock until claimed. After settlement anyone can trigger the claim, and the POCK always go to the token's current owner, with no eligibility rule, except a Genesis Pock held by the airdrop contract itself, whose POCK can never be paid (section 11). **Keeper funds.** Leftover keeper funds in the sale contract always go to the operations treasury; anyone can trigger that transfer 30 days after the sale is settled or cancelled, or 30 days after `publicStart` (Sunday 4 October 2026, 13:00 UTC) if the sale never opened, so they are never stranded. **The release governor (the "match").** Company POCK leaves its vaults only through an immutable on-chain governor. Cumulative company releases can never exceed: - a **starter allowance** of 150,000 POCK per 30 days, up to 5,000,000 in total (if fewer than six clans go live, it shrinks in proportion: for example one sixth with one live clan); plus - a **burn credit**: POCK burned by the six clan pools' buy-and-burn counts **one for one**; POCK burned for levels counts **half** (so does any other burn the contract cannot tell apart from a player burn, such as a holder's direct burn); POCK the company itself burns counts **nothing**. The POCK/MOTE pool burns MOTE, not POCK, so its fee earns no credit. No MOTE burn of any kind earns credit. The weights are fixed in code. Anyone who wants POCK they destroy to count one for one can route it through a one-for-one source (by donating Stock to a clan pool that then burns POCK); they pay for all of it, and the credit never exceeds the POCK actually destroyed outside company custody. **The team sleeve: performance only.** The team's 20,000,000 POCK have **no cliff, no stream and no calendar**. - **Rate.** **1 team POCK vests for each 1 POCK of burn credit**, the highest rate the team vault allows. The team's vested POCK is the smaller of 20,000,000 and the governor's burn credit. - **Which burns count.** The governor's weighted burn credit described above, counted from POCK issuance with no launch exclusion: burns in the pools' first 72 hours count, and so do the few holder burns of airdropped POCK made before the pools open, at half weight. - **No burns, no team POCK.** The team gets no part of the starter allowance. If nothing is burned, the team receives nothing. - **Release.** Each newly vested amount is shown publicly for 7 days. This review is notice only: nobody can veto it. After that it can be released only through the governor, within the company cap and the same-fraction split with the other sleeves. Anyone can trigger the checkpoint and the release. The earliest team release is therefore at least 7 days after the first checkpoint made once the pools are active and a counted burn exists. - **End.** Team POCK not vested or not released when the team vault ends, 60 vault months after pool activation, is burned. - **The deployed rule.** The team vault (`PockTeamPerformanceVaultV3`) is deployed with this rule fixed in it: 1 team POCK per POCK of credit, no stream, no launch exclusion, and the release governor's full weighted burn credit as its base, with no class of burn left out. Its team release policy hash is `0x77c8b0d83ad75945ec924ef9ea6cf3bf9664ffa6bc5c95787bf19d6b7c83ebb8`. We publish a check of these values against the deployed vault. - **The team can run ahead of the other sleeves.** Because burns may come early and vested team POCK is not streamed, the team may at times have released a larger fraction of its own schedule than the other sleeves: up to about **17.8 percentage points** over the vault's 60 months in the operator's model, and up to about 11 points in its central paths. - **Every POCK burn that earns credit also vests team POCK.** At this rate, each POCK of burn credit anyone creates vests 1 team POCK. MOTE burns never do. It does not pay the team to burn POCK itself, because the release limit is shared: **less than 1 POCK** comes back per POCK burned through a one-for-one route (up to about 0.98 after pool fees when the company's release room already covers most schedules; about 0.72 in the central model path), and about half that for a direct burn. - **Modelled effect (the operator's model of 28 September 2026, not a forecast; month 36, central case).** Team POCK released is about 773,000 in the model's "Healthy game" path and 3,260,000 in its "Strong community" path (in "Healthy game" a real player community clears the sale at about 50 USDG; in "Strong community" a community visibly larger than the supply clears it at about 100 USDG). At the earlier rate of 1 team POCK per 2 POCK of credit it would be about 425,000 and 1,920,000, and under the earlier plan (a 12-month cliff, then monthly releases) about 2,310,000 and 4,000,000. - **Trade-offs we accepted.** In year one the team can take up to about 40% of all company POCK releases, although it holds only 29% of company POCK. How much of it the team can sell is limited by the team sell rule below: at most 399,996 POCK in total, ever, into the clan pools, and at most 3,000,000 POCK over the counter. In our model, the Stock the team takes out of the clan pools by selling is, after 3 years, about 2% to 7% of the Stock fees paid to Genesis holders in the central paths. It is higher when holder fees are small: about 18% in a low-volume Healthy game path, and up to about 91% in modelled pumps on the Healthy game path. In one high-volume variant of one modelled path, more team POCK is released than under the earlier cliff-and-monthly plan. - **Company-funded burns: our commitment, not a contract rule.** The contracts cannot tell who paid for a burn. We commit that POCK bought back with company money (the marketplace's 70% buyback share, or operations money) is burned only through a company vault's surplus burn, which creates no credit. Burn credit that an address in the published company address set (https://genesis.stockpocks.com/info/#company-addresses) creates anyway is **offset within 30 days**: the team Safe burns 1 POCK per POCK of that credit through the team vault's surplus burn, which earns no credit. Company credit can arise only through the routes that count: company Stock sent to a clan pool, whether directly or through the protocol-liquidity vault, the seeding contract or the fee-rights vault, each of which can pass surplus Stock on to a clan pool (anyone can trigger these once the Stock is there, except that the protocol-liquidity vault can fold its leftover Stock into a clan pool's buy-and-burn only after its vault clock has ended, 48 vault months after pool activation; they count one for one); the buy-and-burn share of a company swap in a clan pool; and, at half weight, company POCK burned directly, spent in the game (for example on a level), or sent to a contract that anyone can then make burn it as surplus (for example a clan pool or the POCK/MOTE pool). Our monitor reports every such credit and each offset, and we publish the monthly totals at https://genesis.stockpocks.com/info/#company-addresses. The team vesting Safe is not in the published company address set: POCK it holds (from vesting or item fees) and later burns counts like other burns outside company custody, at 0.5 credit per POCK for a direct burn, and is reported, not offset. **How the team sells its POCK.** Vesting, the airdrop and fees decide how much POCK the team receives. This rule decides whether, when, where and how much of it the team may sell. It limits what the team does. It is not a promise about the POCK price. It has no start date, no end date, no pay target and no calendar. - **Team POCK.** The POCK the team holds or controls as a company at its team addresses (below), from any source: team vault releases, the 10,000 POCK airdropped on ids 1 to 100 (section 4a), POCK from item fees (section 14b), and any other POCK at those addresses. POCK the team holds or controls at any other address of its own is team POCK too. Team members' and affiliates' own POCK is not (below). - **Team addresses.** The team Safe (0x29251d415a92aE6C5B2c2Fa3A58Bf44cb7d43497), the one named seller (0x67B5Bb0D9f3Bc93535f12Fd408f4c19fD695c7f7), the team treasury of the resale-royalty vault, and every team address declared as an insider (section 3). We do not publish team members' personal addresses, other than any declared as an insider. The rule covers all team POCK, but outside checks can cover only these listed addresses. An address, once listed or declared as a team address, stays one for ever. Moving POCK between team addresses is allowed. - **Team members' own POCK.** POCK that team members and affiliates hold for themselves, with their own money, is not team POCK and is outside this rule: they may buy, hold and sell it like anyone else. Their personal addresses are not published, other than any declared as an insider (section 3), and declaring one does not make it a team address. The team never moves team POCK to them and never pays them in it: team POCK leaves only in the three ways out below, and anything else is a breach. This does not change section 3 (insiders may not bid), and a team member or affiliate may not buy team POCK over the counter ("Who may buy", below). The 10,000 POCK airdropped on ids 1 to 100 are team POCK, although team members funded those units (section 4a). - **Only three ways out.** This binds the team from any address, listed or not. Team POCK may leave the team addresses only (a) as that day's allowance, sold by the named seller into one of the six clan pools under this rule, (b) as a burn: POCK destroyed, directly or through a protocol contract that destroys it, such as the team vault's surplus burn or a level-up, or (c) as an over-the-counter sale into a lock under "Over-the-counter sales" below. Team POCK at any other address of the team may only go to a team address or leave in one of these three ways. Anything else is a breach (below), including any move of team POCK to a team member, an affiliate or any other address that is not a team address, and paying a team member or affiliate in team POCK. Every team POCK sold in the pools counts toward every limit of this rule. POCK sold over the counter counts only toward the over-the-counter limits. - **No buying.** The team never buys POCK, from any address (a team address or any other), from a pool or from anyone, for Stock, USDG, MOTE or anything else, and no company address we have not published buys POCK. Team members and affiliates buying POCK for themselves, with their own money, is not team buying ("Team members' own POCK", above). The team may still send Stock to a clan pool (section 14b): the pool uses it to buy and burn POCK only up to one buy-and-burn step (section 10: 0.5% of the pool's Stock, less what is already waiting to be burned), and pays any excess to that clan's holders as fees, including the team's own Genesis Pocks. The team gets no POCK from that, and we report each one. There is no other team buyback. - **One seller, one window.** Only the named seller sells team POCK into the pools. It sells only into the six clan pools, and only on day t between 00:00 and 01:00 UTC (in blocks with timestamps after 00:00:00 and before 01:00:00), after our monitor has published that day's allowance. In each pool it sells at most that pool's allowance. The team may sell less, and never more than it holds. Unused allowance lapses; there is no carry-over. - **Execution.** Each swap takes out at most 0.25% of the pool's Stock reserve just before the swap. Each swap sets a minimum output of 98% of what it would return at that day's sample reserves (x and y below), after the pool fee. The seller makes no swap in a pool while that pool's live price (Stock reserve ÷ POCK reserve) differs from the day's close by more than 2%. - **Daily sample (all times UTC).** An hourly reading of a pool is its POCK and Stock reserves after the last block whose timestamp is at or before the full hour. The sample for day t is taken at 00:00 on day t from the 24 readings from 01:00 on day t − 1 to 00:00 on day t. x is the median of the 24 POCK reserves and y the median of the 24 Stock reserves (the median of 24 is the mean of the 12th and 13th smallest); close = y ÷ x. The **flow window** of sample t is the blocks included in the 00:00 reading of day t but not in the 00:00 reading of day t − 1. A pool's first sample is the first one whose 24 readings all come after the pool was seeded. Amounts are on-chain integers divided by 10^18. - **Excluded flows.** These move a pool's reserves but never count as the market absorbing team POCK: - every buy-and-burn by the pool (the POCK it burns and the Stock it spends), however its Stock was funded: trading fees, team Stock donations, company Stock or anyone else's; - POCK bought by any company address (https://genesis.stockpocks.com/info/#company-addresses), including the marketplace's 70% buybacks; - liquidity added or removed by a company address; - any POCK bought by the team, from any address. Everything else is market flow, including company sales of POCK and team members' and affiliates' trades in their own POCK. - **Inputs for each pool and sample t.** - d: all team POCK sold into the pool in the flow window, from any team address; pr: the Stock received for it. - ex_x, ex_y: the effect of excluded flows on the sample. For each hourly reading, cx and cy are the net change in the pool's POCK and Stock reserves caused by excluded flows in all blocks up to and including that reading, counted from the pool's seeding. nx is the median over the sample's 24 readings of (POCK reserve − cx), and ny the median of (Stock reserve − cy). Then ex_x = (x − nx) for sample t minus (x − nx) for sample t − 1, and ex_y = (y − ny) for sample t minus (y − ny) for sample t − 1. So each excluded flow is taken out in full once every reading includes it, however late in the day it came. - add: whether, in the flow window, a company address added liquidity to the pool or sent Stock or POCK to it, including Stock that the seeding contract or any other company contract sends to it, whoever triggers the transfer. - **The estimate (E).** Per pool, the rule keeps E, an estimate of the team-sold POCK still in that pool. When the market buys POCK out of the pool, E shrinks as a constant-product pool implies. The POCK bought (q) and the team POCK taken with it (a) are recorded as a dated slice. When POCK comes back, E grows again, newest slices first, and never by less than the average team share of all slices. Excluded flows are taken out first, so on their own they do not change E. The exact method is below. - **Six-pool index, ramp and strength (the same for every pool).** A pool's opening price is its seeding Stock ÷ its seeding POCK. The index I for day t is the median, over the pools that have a sample that day, of close ÷ opening price (the median of six is the mean of the 3rd and 4th values). The series of I starts with the first sample of the first seeded pool. m is the mean of I over the last 30 samples, or over all samples while there are fewer, summed from the oldest. The ramp w is 0 if m ≤ 1.8, 1 if m ≥ 5, and otherwise ln(m ÷ 1.8) ÷ ln(5 ÷ 1.8). So w is 0.103 at m = 2, 0.322 at 2.5, 0.500 at 3 and 0.782 at 4. Strength holds if the median of I over the last 7 samples, or over all samples while there are fewer, is at least m. If w is 0 or strength fails, every pool's allowance is 0. Every allowance is also 0 until each clan has been seeded, returned or closed (section 9). - **The allowance (per pool, day t).** It is 0 on a day blocked by a company add, a team donation or a breach. Otherwise it is the smallest of these four rooms, rounded down to a whole POCK, or 0 if that smallest room is less than 1: 1. **Now:** (rN × x − E) ÷ (1 − rN), where rN = 1 − √(1 − 0.07 × w). This keeps the estimated price effect of the team POCK still in the pool, 1 − (1 − E ÷ x)², at most 7% × w, so E is at most 3.5635% of the pool's POCK at full ramp. 2. **Reversal:** take the slices dated t − 60 or later. qW is the sum of their q. aW is the sum of the larger of a and avg × q for each of them, where avg = A ÷ Q (0 if Q is 0). The room is (rN × (x + qW) − E − aW) ÷ (1 − rN). It asks whether the limit would still hold if all the POCK bought out in the last 60 days came back. 3. **Lifetime:** w × 66,666 − cut − D, where D is all team POCK ever sold into the pool and cut is the breach cut (below). 66,666 is 2% of one sixth of the 20,000,000 pooled POCK, rounded down. Across six pools that is **399,996 POCK: the most the team may ever sell into the clan pools, in total, for ever.** 4. **Impact:** x × (1 ÷ √0.99 − 1), about 0.0050378 × x, so one day's sale moves a pool's price by at most 1%. - **Company-add block.** If a pool's flow window for sample t includes a company add, the team makes no sale in that pool on day t or the next 30 days. - **Team-donation block.** If the flow window for sample t includes a team Stock donation to any clan pool, the team makes no sale in any pool on day t or the next 30 days. - **Exact method (per pool; IEEE-754 double precision, in this order).** State: E, a list of slices [day, q, a] in the order added, their running sums Q and A, D, cut, and the previous sample x0, y0. It starts at E = D = cut = Q = A = 0, with no slices, and x0, y0 from the pool's first sample. At each sample t: 1. xa = x0 + d + ex_x; ya = max(10^-9, y0 − pr + ex_y); Ea = E + d; dx = x − xa. 2. If dx < 0 (the market bought POCK): if Ea > 0, then G = Ea × ya ÷ max(10^-9, xa − Ea), En = x × G ÷ (y + G), a = max(0, Ea − En) and Ea = En; otherwise a = 0. Add the slice [t, −dx, a]; Q = Q − dx; A = A + a. 3. If dx > 0 (POCK came back): avg = A ÷ Q (0 if Q is 0), computed once; rem = dx. While rem > 10^-12 and a slice remains, take the newest slice [q, a]: k = min(rem, q); back = a × k ÷ q (0 if q is 0); Ea = Ea + max(back, avg × k); the slice's q falls by k and its a by back; Q falls by k, A by back and rem by k; if the slice's q is now at most 10^-9, Q and A fall by its remaining q and a and the slice is removed. Any rem left when no slice remains is ignored. Then Q = max(0, Q) and A = max(0, A). 4. E = max(0, Ea); D = D + d; x0 = x; y0 = y. If add is true, the company-add block starts. Then the rooms are computed with that day's x, E, Q, A, D and cut, summing qW and aW from the newest slice to the oldest. - **Our monitor and how to check it.** At launch this rule is our commitment, not a contract: a breach can be seen but not prevented. Each day, before any sale, our monitor (https://stockpocks.com/team-monitor/) publishes for each pool: x, y and close; nx and ny; d and pr; the excluded flows, ex_x and ex_y; E, Q, A, avg, qW and aW; D and cut; any block or breach stop; I, m, w and the strength test; each room; and the allowance. Each day's figures are one file. Before the seller's first swap that day, we post the file's SHA-256 at our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1), and the seller sends a transaction to itself, with no value, carrying that hash as its data. A day with no published allowance, or with no such transaction before the seller's first swap, has an allowance of 0. We also publish every team burn, every team Stock donation, every team sale and every movement of team POCK between team addresses. Anyone can recompute the figures from chain data with our reference code (published with its SHA-256 at https://stockpocks.com/team-monitor/ before the first team POCK release; the team sells nothing until then). Anyone can also check each seller swap against the allowance, the window and the execution rules. A recomputed allowance within 1 POCK per pool of the published one counts as the same. The tolerance never permits a sale in a pool on a day when this text gives that pool an allowance of 0, and never permits a sale that takes a pool's D above that day's w × 66,666 − cut. Where the reference code and this text differ, this text governs. A published allowance more than 1 POCK above the one this text gives does not permit a sale above the rule. - **Breach.** Team POCK leaving the team addresses, or any other address of the team, in any way other than (a), (b) or (c) above is a breach, including any move of it to a team member or affiliate (moving it to a team address is not). So is any purchase of POCK by the team, from any address, any purchase of POCK by a company address we have not published, and any move of ids 1 to 100 before the unlock other than into the time-lock contract, or any approval, listing or pledge of them before the unlock (section 4a). The breach amount p is: - for a pool's sales above that day's allowance, the excess; - for a swap made outside the window, by anyone but the named seller, or breaking an execution rule, all of its POCK; - for any other outflow, including any move to a team member or affiliate, the POCK that left; - for a purchase by the team or by an unpublished company address, the POCK bought; - for a move, approval, listing or pledge of ids 1 to 100, any POCK that moved with them (otherwise 0). The penalty is permanent. p is charged to the clan pool it went into or came from, or split equally across the six pools if none. It counts as sold: it is added to that pool's D, unless it was sold into that pool and is already there. That pool's cut rises by 2 × p for ever. And from the breach until the end of day t + 90, where t is the first sample after the breach, the team makes no sale in any pool. Our monitor publishes any breach within 24 hours. The penalty is self-imposed, and anyone can compute it. - **Changes: only stricter.** These terms cannot change (section 22), so this rule is the outer limit for ever. We may announce a stricter rule at our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1) and then follow it: a lower limit, a longer window, a later or slower ramp, a stricter strength test, a smaller daily size, or a longer or wider block, for example after large company buys. A stricter rule, once announced, binds us like this one and cannot be withdrawn. No notice can raise an allowance. If team POCK later moves into an audited contract that enforces this rule in code, that contract becomes the named seller once it is admitted in the pool factory's contract lane (section 10). We announce its address at our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1) and at https://stockpocks.com/team-monitor/, 30 days ahead. The rule does not change: the contract never permits a sale above this text, and such a sale is still a breach. - **Unsold team POCK.** Team POCK not yet sold stays at team addresses. Under this rule the team may never sell more than 399,996 POCK in total in the clan pools, and under "Over-the-counter sales" below it may never sell more than 3,000,000 POCK in total over the counter, so any POCK above those limits may only be held or burned. Team burns raise the company's release room (section 14b). We report released, sold, burned and held team POCK every month at https://genesis.stockpocks.com/info/#allocation. - **What this does, in our model (not a guarantee).** Our design aim is that team selling keeps POCK no more than 8% below where it would be with no team selling, at month-ends. Nobody can observe that price, so the 8% cannot be checked. What anyone can check is that the team followed the rule. Across 17,001 modelled three-year paths: - on the 8,801 paths used to build and tune the rule, POCK was at most 7.0% below at month-ends and 7.2% on single days; - on 4,800 random paths from two generators that were not used to set the rule's numbers, it was at most 7.3% below at month-ends and 7.6% on single days; - on 3,400 stress paths built to find weak spots, mostly long periods of heavy trading, it was at most 7.8% below at month-ends and on single days, and typically about 3.8%. In the worst of them the gap grew long after the last team sale, because a pool with less Stock earns less in fees and burns less POCK; - no path went past 8%. One passed 7.5% at month-ends, and two on single days; - holder fees per Genesis Pock were at most about 2.5% lower on the paths used to build the rule, and at most about 2.8% lower on any path. Our model uses one pool standing for all six, end-of-day reserves instead of 24-hour medians, and no company buys, company liquidity adds, team donations or breaches. It does not test pools that move apart, a single pumped pool, or moves in Stock Token prices. It does not model the execution limits, POCK from item fees, or the 30% resale share, and neither the model nor the 8% aim covers over-the-counter sales (below) or the later selling of POCK released from over-the-counter locks. It covers three years only; the rule has no end date, and in about half of the paths the team had not reached its limit by year three. Real results can be worse. - **What this pays, in our model.** Team sale proceeds are Stock Tokens, valued here in USDG. The model's central paths pay as follows: - Floor sellout (the sale clears at the 20 USDG floor): nothing. - Healthy game: about 10,000 USDG by month 12. - Strong community: about 19,000 by month 6 and 53,000 by month 12. - Breakout (the sale clears at about 200 USDG): about 30,000 by month 3 and 110,000 by month 6. The team reaches its 399,996 POCK limit around day 180 and sells nothing more in the pools. In 358 of the 17,001 paths the team had about 1 million USDG or more by month 12. In every one of them, POCK's price with no team selling peaked at 95 times its opening price or more. The most in any path was about 4.3 million. In the Breakout and Strong community paths the team still holds about 2.5 and 2.4 million POCK after 12 months (including the airdrop), which it may never sell in the clan pools. - **Over-the-counter sales are not in these figures.** Their price depends on buyers we do not have. At 3,000,000 POCK and the 25% maximum discount, a reference price of 0.40 USD (a 40 million USD notional value of all 100,000,000 POCK) would pay about 900,000 USDG, spread over the sales. This is arithmetic, not a forecast, and at lower prices it pays less. **Over-the-counter sales.** The team may sell team POCK directly to a buyer, outside the clan pools, only as follows. At launch these over-the-counter rules are our commitment, not a contract rule: no contract checks the limits, the price, the buyer or that the POCK goes into a lock, and a breach can be seen but not prevented. Only a funded lock's schedule is enforced, by the `VestingWallet` code. - **Into a lock, never straight to a wallet.** The POCK goes from a team address straight into a new, unmodified OpenZeppelin `VestingWallet` contract (version 5.6.1; source and code hash published at https://stockpocks.com/team-monitor/), whose beneficiary is the buyer. Its schedule releases nothing for at least 180 days after the date of that over-the-counter sale, then releases linearly over at least 540 days. The team deploys a new lock for each sale and sends nothing else to it. Once funded, nobody, including us, can speed up or reverse the schedule. The buyer may transfer the lock's beneficiary role; the schedule does not change. - **Limits.** In total, for ever, at most **3,000,000 POCK**. At most 1,000,000 POCK in any 90 days. At most 1,000,000 POCK to any one buyer and its affiliates. The schedules of all over-the-counter locks together may release at most 150,000 POCK in any 30 days; a sale whose schedule would exceed this is not allowed. - **Price.** At least 75% of the reference price on the date of that over-the-counter sale. The reference price is the mean, over the last 30 daily samples, of the daily median, over the clan pools that have a sample that day, of that pool's close (section 13, team sell rule) times the Chainlink USD price of that pool's Stock Token at the sample time. The buyer pays the full price in USDG or Stock Tokens to the team Safe at 0x29251d415a92aE6C5B2c2Fa3A58Bf44cb7d43497 (section 12a), and only to that published address, before the lock is funded: we never give a payment or lock address by email or message (section 1). There is no credit, no instalment and no payment in kind. - **When.** Only after every clan has been seeded, returned or closed (section 9), and only once at least 30 daily samples exist. - **Who may buy.** Not a team address, a team member or affiliate, a company address, a declared insider (section 3), anyone who holds a key listed in section 12a, or anyone acting for them. A buyer must approach us first, by email to info@stockpocks.com: we never contact a prospective buyer first (section 1). Section 1 still applies: we never send a payment, contract or lock address by email, and the buyer checks its lock at https://stockpocks.com/team-monitor/. An over-the-counter purchase that the buyer started by email is the only payment we agree outside the websites in section 1. - **No side deals.** The team gives the buyer no buyback, no price guarantee, no rebate, no loan, no financing, no right to return the POCK and no promise about the POCK price, liquidity or listings. The team never buys the POCK back, from any address, from the buyer or anyone else ("No buying", above). - **Disclosure.** Within 24 hours of each sale we publish at https://stockpocks.com/team-monitor/ and at our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1): the date, the buyer (entity name as the buyer declares it, or a label for an individual), the POCK amount, the price and its discount to the reference price, the payment transaction, the lock's address, its schedule and the running totals against every limit. Anyone can check each lock on chain. - **After the lock.** POCK released from a lock belongs to the buyer and is not team POCK. The buyer may sell it anywhere, including into the clan pools. Those sales are market flow, not team sales: they do not count toward any team limit. Like any selling, they lower the price index (which can lower the ramp or fail the strength test), but they also enlarge the pool, which can raise the daily rooms slightly. - **Breach.** An over-the-counter transfer that breaks any line above is a breach under "Breach" in the team sell rule, with p = all the POCK transferred. - **Changes: only stricter,** as for the team sell rule. **Team pay from the operations share.** Some team pay may come from the operations share: the 20% of gross proceeds that goes to the operations treasury as each clan is seeded (section 8). This is company money, not POCK. At a clearing price of 20, 50, 100 or 200 USDG, and if all six clans are seeded, the whole operations share is 40,000, 100,000, 200,000 or 400,000 USDG. The operator sets any amount paid to the team from it, and no amount is set in advance. We publish the total paid to the team each quarter at https://genesis.stockpocks.com/info/#allocation. It buys and sells no POCK itself, so it does not move the POCK price; team members may spend their pay as they wish, including on POCK for themselves ("Team members' own POCK", above). But every dollar paid to the team from it is a dollar less for running the game. **No team fee.** The clan pools pay no fee to the team, and we will not add one. **Other team income, unchanged.** The team also receives 30% of the 10% resale fee on Genesis Pocks sold in the PockStore; the other 70% buys POCK, which is burned as set out in section 11 and under "Company-funded burns" above. If the Workshop launches, the team also receives the 10% item-trade fee (section 14b). The Genesis resale split is fixed in the marketplace contract and is not changed; the item-trade fee is as described in section 14b. The team's resale share is paid through the marketplace's revenue vault, not through a clan pool. Any POCK the team receives from these fees is team POCK under the rule above. **Clocks, keys and review.** - Every company vault clock starts when the pools activate, not when the sale opens. The team sleeve has no cliff (above); contingency is locked for 24 months. - Our four founders hold the four approve and veto keys, one each. Three of those keys are the same founder keys that sign the owner multisig, the seed multisig, the team Safe, the operations treasury and the team treasury of the resale-royalty vault ("Who holds the keys", section 12a). None of the four key addresses may receive a payment from any company vault. The team wallet, the operations treasury and contract owners may not receive creator, vendor or contingency payments; the team vault pays only its fixed beneficiary, the team Safe, and among company-vault payments the team Safe receives only team-sleeve releases. - **Company token releases can never be paid to the addresses that hold power over the system:** contract owners (including former owners), the eligibility authority, the price-feed keys (there are none), the randomness binding authority, the MOTE reviewers and signers, the level-controller signers and policy authorities, the marketplace owner, the fee-rights binder, the system contracts themselves, or the resale-royalty vault and its buyback and team treasuries (which would pass 30% to the team). This rule covers addresses, not people: the team Safe, which receives the team-sleeve releases, is signed by the same three founder keys that hold release keys and sign the owner multisig. - Every payment waits for a **7-day public review**. For the team sleeve this review is **notice only**: it gives time to see a release coming, but nobody can veto it. Per-recipient caps: creators 300,000 per quarter and 1,200,000 for life; vendors 78,125 per month and 750,000 for life. - Unused windows expire, and unreleased POCK is burned at the end of each vault, including POCK that could have been released but was not collected in time (so a missed collection burns POCK; it never pays anyone). - Before bids, a read-only on-chain check proves that the 80,000,000 remainder can reach only the reviewed vaults, and we publish the full allocation, the team figures (vested so far, under review, released and releasable now) and a live "company can release up to X today" figure at https://genesis.stockpocks.com/info/#allocation. **Plainly.** The starter allowance alone lets the company sell up to 5,000,000 POCK into the pools over about 33 months, and each burn raises that limit as above. In the operator's model (28 September 2026; a model, not a forecast), if nobody new buys after the sale and the company sells all it releases (about 5,000,000 POCK, almost all of it starter allowance), company selling alone removes about **17 to 18%** of the pools' Stock by month 36, all sellers together (company releases, withdrawn MOTE and airdropped POCK) remove about **25%**, and POCK ends at about 0.56 times its opening price. With new buyers, and the company selling half of what it releases, company releases by month 36 are about 5,900,000 POCK if the sale clears at the 20 USDG floor and about 13,100,000 to 13,200,000 if it clears at 100 or 200 USDG; the starter allowance is 85% of that total at the floor and 38% at the higher prices, and burn credit is the rest. Whether the company sells its released POCK is the largest POCK lever it controls: selling none of it instead of half would leave POCK's month-36 price about 29% to 61% higher in the model. In that model the team sleeve also sells its share of what it releases; the team sell rule above limits the team to at most 399,996 POCK in total in the clan pools. ## 14. Play, MOTE, levels and breeding - **Task MOTE.** Accepted Care, movement, creative and Build work can earn Pock-bound MOTE within fixed issuance caps. The Pock's owner must do task work themselves, with one exception: a build that the Pock's AI helper drafted, the owner sent and an independent reviewer accepted is paid like any other accepted build, once we switch on paid features in the game. The current owner can withdraw task MOTE: **25% of every withdrawal is burned and 75% reaches the wallet**. The burn earns no POCK release or team credit. If the Workshop opens, spending task MOTE there skips the 25% withdrawal burn, but the MOTE spent is itself burned in full (section 14b). - **Roam MOTE.** - **Who earns:** every owned Genesis Pock. Practice Pocks earn nothing. - **Which chapters:** finished Walk and Studio ("At home") chapters played by the owner, and Studio chapters played by the Pock's AI helper (at most **3** helper chapters per game account per day). Walks and photo-spots need a person. A chapter that ends within a minute keeps its memory but earns no MOTE. - **Limits:** up to **3 MOTE per Pock per day**. There is no one-time window. Roam MOTE is also limited per game account: 30 MOTE a day and 210 MOTE per 7 days per account. At the game's current limit of 30 MOTE a day per account, an account with more than **10 Pocks** cannot earn 3 MOTE for every Pock every day. Roam has its own share of each week's MOTE budget; once that share is used, not every Pock gets its daily cap. **The caps bind well below 3 MOTE a day:** from week 8 the weekly MOTE cap is fixed at 20% of the schedule, because no burn ever raises it, and Roam gets 50% of it (Walk 15%, Studio 35%), about 70,000 MOTE a week in year one; with 10,000 active Pocks that is about **1 MOTE per Pock a day** in year one, falling by about a quarter each year. Each account's Pocks together are also capped on chain at **215 MOTE a day and 425 a week**, task and Roam MOTE together, so even without the game's limit an account with more than about **20 Pocks** cannot average 3 MOTE per Pock a day. All Roam MOTE stays inside the weekly cap and the 150,000,000 lifetime MOTE cap, and earning ends with the 520-week MOTE schedule. - **Studio is a chance reward.** A Studio chapter has three picks. Each pick independently has an even (50%) chance of being golden, which pays that moment's maximum (0.9, 0.9 and 1.2 MOTE); otherwise the pick pays nothing. So a chapter pays 0 to 3.0 MOTE, 1.5 on average; all three golden is 1 in 8, and none golden is 1 in 8. A Pock's day is decided by its first rolled chapter. A chapter with no golden picks still uses up that Pock's day, so it cannot be re-rolled by quitting, replaying or switching to a Walk. Our game server makes each draw. It cannot be re-rolled, and every draw is logged for audit, but you cannot check a draw yourself. - **Walk pays the standard amount:** 0.6, 0.6 and 0.8 MOTE, so 2.0. Once photo-spots ship, snapping the object earns that moment's maximum and skipping earns the standard amount, so a Walk pays 2.0 to 3.0. Walk questions have no roll. - **No stake.** A Roam chapter has no entry fee and no stake, and you cannot lose MOTE by playing. But a Practice Pock earns no Roam MOTE, and after the free window you need a Genesis Pock to play fully. Player-built staked chance games are separate and stay switched off. - **How it is paid:** our game server signs Roam results, and they are settled on chain in batches, at least every 5 days for each Pock. Roam MOTE shown in the game is not yours until it is settled and credited on chain. One settlement can cover at most **7 days** of a Pock's Roam, so Roam that stays unsettled for longer can be lost, and those days may not count as level days. Our MOTE approver can exclude a task or reject a batch before it is final (section 12a). The service that settles Roam on chain is separate from the sale contracts. Roam MOTE on chain starts only when that service is live and we have activated the daily MOTE policy on chain, which may be after the reveal. We announce it in our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1). Roam played before then, or never settled, may never be paid. - **On transfer:** Roam MOTE is Pock-bound: once credited it stays with the Pock if the Pock changes hands. Roam earned but not yet settled when the Pock changes hands stays with the Pock and is signed again for the new owner. - **Withdrawal:** the current owner can withdraw Roam MOTE at any time after it is credited on chain. **75% is burned and 25% reaches the wallet** as ordinary MOTE. The burn earns no POCK release or team credit. - **MOTE value.** MOTE is a game token and may have little or no market value. In our own model its price in POCK ends below its opening price in every path that sells out, and far below it in most (risk 18). This is a model, not a forecast. - **Levels.** Levelling burns MOTE (Roam MOTE first) and wallet POCK. Levels 1, 2, 3 and 4 need **3, 6, 9 and 12 claimed days** and cost **5, 10, 15 and 20 MOTE** and **50, 100, 150 and 200 POCK** respectively, so a full level costs 50 MOTE and 500 POCK in all. Each level-up also needs our level signer's signature (section 12a). - **Level days.** Every Roam claim, whether the owner or the Pock's AI helper played it, counts as a claimed day for the on-chain level gates. A Pock-day counts once, never twice. The gates' claimed-day thresholds (above) are fixed in the contracts at deployment (published at https://genesis.stockpocks.com/info/#contracts). If Roam is settled late, some days may not count (see "How it is paid" above). - **Breeding.** Bred Pocks are a later feature. We publish how breeding works on https://stockpocks.com before any Pock can breed. Apart from bred Pocks' capped fee share (section 11), nothing in the sale depends on breeding. - **Growth windows.** A Pock's 14-day growth window applies to task growth only; Roam MOTE has no window. It is one-time per owner and per linked identity: moving the Pock to yourself or to another wallet of yours does not start a new one. A genuine new owner can queue for their own window. - **MOTE caps and crafts.** MOTE issuance stays inside a weekly cap and the 150,000,000 lifetime cap. The earlier MOTE craft recipes are retired before the sale and cannot be used. Because crafts are retired and no MOTE sink burn counts, the weekly cap is a fixed 20% of the weekly MOTE schedule from the schedule's week 8. No MOTE burn (withdrawal, pool fee, Workshop or any other sink) earns POCK release or team credit. - We may change, pause or end the game or any game feature. We aim for a Pock to reach full level in roughly two weeks of maximum daily play. That is a design target, not a promised date: full level needs 12 claimed days, and late settlement can delay it. ## 14a. The dormant MOTE spend port The sale graph includes a small contract, the **MOTE spend port** (`MoteSpendPortV1`). After launch it is the only way a Pock's own MOTE could be spent in the Workshop (section 14b). At the sale it does nothing. - **Dormant at the sale.** No spend target (a "sink") is bound: `spendSink()` is the zero address, so every spend fails. The sale can open only if no sink is bound and none has ever been bound: its pre-bid inspector checks this (section 4). Once the sale is open, nothing in the port stops a bind before the gates in section 14b are met. Keeping it unbound until then is our commitment. - **Bound once.** The MOTE issuer's burn hook was bound once, at deployment, to this port and nothing else. - **Who can bind a sink.** Only the MOTE policy Safe, which is the owner multisig 0x94D06915879257Dc6cf3D25AeB8C36AC3813e106 (3 of 4). We will bind one only after the Workshop's gates in section 14b are met and the item contract has had its own audit. The port pins the sink's code hash and refuses an ordinary wallet or a delegated (EIP-7702) account as a sink. It cannot detect a proxy; we will never bind a proxy sink, and we check the sink's code before any bind. - **Retire and rebind.** The MOTE policy Safe can retire a sink at any time. That stops spends at once and cannot be undone. A new sink can be bound only 14 days after a retire, and at most 3 sinks can ever be bound. - **Only the owner's signature can spend.** Each spend needs a signature valid for the Pock's current owner that names the sink, the Pock, the amount, a nonce and a deadline: an ordinary signature from the wallet's own key, or an ERC-1271 signature for a contract wallet. **An ordinary account that has delegated its code (EIP-7702) must still sign with its own key** (a typed-data signature, eth_signTypedData_v4); a session key or other signer authorised by its delegate code is not accepted. Our apps never let an AI helper sign. If a contract wallet owns the Pock, anyone that wallet authorises can sign for it. You can cancel an unused signature by its nonce. A transfer of the Pock makes older signatures unusable. - **Spends burn; they never transfer.** A spend burns the Pock's Roam MOTE first, then its task MOTE. It never sends MOTE to anyone, and it earns no POCK release or team credit. - **Risk.** If you sign a spend request on a fake site, that Pock's MOTE can be burned. It cannot be taken through the port. ## 14b. The Pock Workshop: a possible future feature (NON-BINDING; not part of this sale) This section describes a feature we plan. **It is not part of what you buy, and nothing in it is a promise.** We may change it, delay it or never launch it. - **What it would be.** Players could mint Workshop items (looks, frames and display pieces) by burning MOTE. Items would be ERC-1155 tokens on Robinhood Chain. - **Random rarity.** Each mint would give an item with a **rarity tier drawn at random**. The odds would be published before minting is switched on. You would pay the same MOTE whatever tier you receive, and you may receive a common item. - **Paying for a mint.** Either with a Pock's own MOTE through the spend port (section 14a; only the owner's signature), or with MOTE held in a wallet, including MOTE you buy. **If you buy MOTE to mint, you are paying for a random draw: the item you receive may be worth much less than the MOTE burned, or nothing.** 100% of the MOTE would be burned and never refunded. There would be no fee on a mint, and the burn would earn no POCK release or team credit. - **Where items go.** Items would be minted to the owner's wallet, not attached to the Pock, so they would not move with a sale of the Pock. If the random draw were not delivered in time, the item would be minted at its base tier. - **No gameplay or fee effect.** Items would have no effect on MOTE earning, Studio odds, levels or Stock fees. - **Trading.** Items could be sold only in the in-game item market, priced in MOTE, POCK or USDG. **The team would take 10% of every sale price, in the same token, and the seller would receive 90%.** Nothing would be burned on a trade. The fee would go to the team vesting Safe, the team vault's beneficiary; receiving it is not a burn and earns no credit. POCK the team receives from item fees is outside the 20,000,000 team allocation, but the team may sell it only under section 13 (the team sell rule or an over-the-counter sale). The team may burn POCK it holds. Any such burn counts toward the release governor's burn credit at the same weight as other burns outside company custody: 0.5 credit per POCK for a direct burn, or 1 for 1 only if routed through a clan pool's buy-and-burn (for example by donating Stock to a clan pool). That raises the company's release room and the team's vested amount, though it returns the team less POCK than it burns (less than 1 POCK back per POCK burned through a one-for-one route: up to about 0.98 after pool fees, about 0.72 in the central model path; and about half that for a direct burn). When routed one for one, it also lets the company sleeves release about the same amount of POCK again, so it is roughly supply-neutral. A direct burn removes about half of what is burned from supply. Item-trade fees are separate from the Genesis Pock resale fee in section 11 (10%, split 70% to POCK buybacks and 30% to the team). Items could not be moved or sold anywhere else. If the in-game item market is paused or closed, you may not be able to sell or move an item at all. Other games could technically read who owns an item, but we do not promise that any game will use them. - **Clan season score.** The dollar value of MOTE burned on mints, valued with a time-weighted pool price at the time of the burn, would count toward the clan's season score. Withdrawals would add nothing to the score; whether they would also subtract from it is not decided. Season length, prizes, which clan a wallet mint counts for, and the other scoring rules are not set. - **Before minting is switched on:** a production randomness source (the drand verifier of section 6), published odds, 18+ only and the item contract's own audit. This section is not legal advice to you, and it does not mean the Workshop is lawful or will be offered where you live. Native apps would show the base look only. - **Automated accounts (bots)** may mint and trade items. They may mint many items and compete with you on price. - **No promises.** We do not promise that the Workshop will launch, that items will have or keep any value, that you will be able to sell an item, or that items will work in any other or future game. Rules on paid random items differ between countries, so the Workshop may not be available where you live. ## 15. The free game window - The free web game opened to testers on 27 September 2026 and to the public on 29 September 2026, 12:00 UTC. During the free window anyone can play, and each new account gets one **Practice Pock**. - A Practice Pock is **not an NFT and has no value**. It never becomes a Genesis Pock, and it never counts toward MOTE, growth, fees or any other financial right. - **The free window closes when Genesis Pocks are revealed and playable.** The operator sets the exact end at the reveal and announces it in the game. After that, full play needs a Genesis Pock. Practice Pocks close at the same time. - **If the sale is cancelled, free play stays open.** - Playing requires confirming that you are 18 or older at sign-up. - The free game is not part of what you buy, and access to it can change. ## 16. Audits and reviews Our contracts were reviewed only by AI audits that we ran ourselves (reports: https://genesis.stockpocks.com/info/#audits). No human audit was commissioned, including for the reveal verifier. ## 17. Timeline All times UTC. Plain risk statements **You can lose all or part of what you pay.** In particular: 1. **The seed multisig holds the unspent money.** Until a clan's budget is fully bought, the unspent part sits in the seed multisig (our Stock-buying multisig: a different Safe from the owner multisig, with the same signers; risk 12) as USDG. The contracts check results, not custody. If a clan is closed without being fully bought, its holders receive the Stock already bought for them and their share of the operations bond at once, and the unspent USDG only if and when the multisig returns it (we commit to 72 hours; no on-chain notice precedes it). 2. **Value can be lost when buying.** Each purchase may cost up to about 3% more than the Chainlink price at that moment (for example through an unfavourable or affiliated venue), and the signers choose when to buy. The seeding contract cannot see where delivered Stock came from: signers who misused unspent USDG to buy early could deliver that Stock later at a higher price and keep the difference if the clan is returned in Stock (section 9; our monitor alerts on it). A fall in the Stock price after buying can block seeding; the clan is then returned in Stock or closed. 3. **Thin markets and the 14-day limit.** Some Stock Tokens (especially AAPL and MU at high clearing prices) are thinly traded; a clan that cannot be fully bought within 3% of the Chainlink price in 14 days (even by the smallest unit) can never be seeded and is closed, with no notice, with Stock and bond shares. Only Stock delivered to the seeding contract inside a recorded purchase counts, valued at the Chainlink price at that moment; any Stock delivered that way is credited, wherever it came from, except Stock the seed multisig already held. 4. **No fallback prices.** There are no fallback price keys; a broken or paused price feed delays seeding until it recovers, and never delays a refund or a claim. Each feed's Chainlink operator (a 4-of-9 multisig) can change the data source behind it. 5. **Market hours and stale prices.** Purchases and seeding stop outside US market hours (Monday 01:00 to Saturday 00:00 UTC), on 26 November 2026 and on 27 November 2026 before 01:00 UTC, when a feed is older than 26 hours or its Stock's price oracle is paused, and when USDG is more than 1% away from 1 USD. Robinhood Chain publishes no sequencer-uptime feed; after a chain outage a price may be stale until the next update (our keeper does not seed while the chain lags). 6. **Stock shares may be unclaimable or reduced.** If a clan is not seeded, its Stock is shared pro rata at the time you claim, and is paid to the wallet that holds the Genesis Pock. If the Stock issuer has blocked that wallet, its claim fails until the wallet is unblocked or the NFT changes hands, and an issuer seizure or block reduces or delays what remains for everyone. 7. **Receiving Stock is your responsibility.** Our contracts pay Stock fees and Stock refunds to whoever holds a Genesis Pock, with no eligibility check of any kind. The Stock Token issuer restricts or prohibits some people and countries (section 11), and receiving or holding Stock may be unlawful for you or have tax or reporting consequences where you are. The issuer can block your wallet, and then no Stock can be paid to it. 8. **Issuer powers.** The Stock Token issuer can pause all six tokens, block any address, seize or burn balances (including Stock held by the seeding contract, the pools and the fee-rights contract) or change their code at once, through single keys. We sought no issuer permission. Any of this could stop seeding, trading, fee payouts, claims and refunds in Stock, and a seizure's loss is shared by the clan's remaining claimants. 9. **USDG powers.** The USDG issuer can pause, freeze and wipe balances. 10. **Randomness.** A late or failed proof cancels the sale. A verifier flaw could bias the assignment of clans, recipes and rarity; the AI audits of section 16 reduce this risk but do not remove it. A colluding threshold of drand operators could learn the assignment early and, if it also controlled the timing of the sellout or of the randomness request, choose the assignment of clans, recipes and rarity; it could not move funds. The 24-hour wait is measured by the chain's clock. **Trust in the chain's operator.** Robinhood Chain's operator (its sequencer) can set block times up to 4 days in the past. A malicious operator could use that to choose the reveal's clan, recipe and rarity assignment. It cannot touch funds or refunds. We accept this trust, as we trust the operator to run the chain. The operator can also censor transactions, which could stop the reveal (the sale then cancels with full refunds), and it can upgrade the chain or change gas limits without notice (section 12). Our monitor alerts on a request whose block time is more than 10 minutes off, or whose transaction is later replaced. 11. **No human audit.** Only AI audits that we ran ourselves reviewed our contracts (section 16), and one bug they missed could expose all proceeds, the NFTs and every refund and fee ledger. 12. **Custody and keys.** The seed multisig and owner multisig signers, release-key holders, the MOTE policy Safe signers, keepers and operators are people and can make mistakes, be unavailable or act against you within what the contracts allow. They are not independent of each other. The owner multisig (which is also the MOTE policy Safe), the seed multisig and the team Safe are three different 3-of-4 Safes with the same four signers: three founder keys and a fourth key. The operations treasury and the team treasury of the resale-royalty vault are 2-of-3 Safes signed by the same three founder keys. The four release keys are those three founder keys plus a fourth founder key, so three of the four release keys also sign the team Safe, which receives the team-sleeve releases. Wherever these terms call a Safe separate, it is a different Safe, not different people: the separate Safes and the approve and veto split do not protect you against these signers acting together. 13. **Keepers.** If nobody requests randomness within about 42 hours of the price being fixed, or settles within 7 days, the sale cancels with refunds after days of waiting. 14. **Opening prices differ.** Each pool opens at its own budget ratio. A clan seeded late opens at that ratio whatever POCK has done since the first pools opened, and each pool's POCK price moves with its own Stock until activation; arbitrage closes the gap at the expense of traders in the thinner pools, and anyone (including an insider) may take the first arbitrage. Seeding is public and permissionless. 15. **The fee drops sharply.** Each pool's fee falls from 3% to 0.9% exactly 72 hours after that pool opens. 16. **Contract wallets are restricted.** Contract and delegated wallets cannot trade clan pools unless reviewed and admitted (a delegated wallet never can be), and no router is admitted at opening. A pause of a clan's Stock Token in the eligibility registry, or a change of the code at that Stock Token's address, halts that clan's trading. 17. **The resale fee can be avoided** by direct transfers, including transfers to an escrow or wrapper contract that then moves the Pock as its holder. Such transfers are not PockStore sales and have none of its checks. While such a contract holds the Pock, its Stock fees are paid to the contract, which may be unable to pass them on. 18. **MOTE rewards are uncertain, and MOTE may lose most or all of its value.** Roam MOTE from Studio ("At home") chapters is a chance reward. Roam MOTE depends on our game server, signer, approver and settlement service, on per-Pock (and possibly per-account) caps and on Roam's weekly share. Roam left unsettled for more than 7 days can be lost. 75% of withdrawn Roam MOTE and 25% of withdrawn task MOTE is burned. In our own model (28 September 2026), MOTE's price in POCK at month 36 is about 0.09 to 0.83 times its opening price across the paths that sell out, and about 0.05 to 0.22 times without wallet-bought Workshop mints, whose demand is only assumed. 19. **Holder income is not assured.** It depends only on trading volume, which may fall sharply or stop. 20. **Other pools earn nothing.** Only the protocol pools send fees to holders and burns. 21. **Reserved units and insider blocking.** The public must buy only 9,900 − W units (W = whitelist units claimed). Reserved units bring a thin sellout forward and raise the uniform price for everyone: the price falls about 9.58 USDG per hour, so R reserved units raise it by about 9.58 × R ÷ r USDG, where r is the number of public units bought per hour near the end (about 958 ÷ r USDG for the team's 100 alone). Insider blocking is limited to declared addresses; undeclared insider wallets cannot be detected. Because the operations share is 20% of gross, an undeclared insider forcing the sellout pays for itself from about 8,000 − W units of real demand if company money funds the team reservation, or about 7,900 − W if team members fund it personally (section 4a says which applies). 22. **Company selling can drain the pools** (section 13). Burns raise the company's release limit. 23. **The wallet limit is only a speed bump.** 24. **Placeholder and hosting.** Until the reveal, and forever after a cancellation, tokens show only the placeholder. Hosting of the art and metadata depends on pinning providers. 25. **Art rights.** The artwork was AI-generated; similar images may exist, and its legal protection may be limited in some places. 26. **Free play.** The free window closes at the reveal; the game can change. 27. **Binding return notices, and two exits without one.** A clan return is announced 72 hours ahead and cannot be withdrawn; if it is not carried out within the next 72 hours anyone may close the clan (its bond goes to its holders), or anyone may seed it if it passes, whichever happens first. A clan left even slightly under-bought at the 14-day deadline closes with no notice, and a closed clan's unspent USDG is returned with no notice (within our 72-hour commitment). The signer trading policy (section 9) covers all of them. 28. **Marketplace edge cases.** The PockStore sells Genesis Pocks only. It opens only when our owner multisig opens it, about 1 hour after settlement, and the owner multisig can pause it at any time, with no time limit (if it gave up its ownership while the store was paused, the PockStore could never reopen); while it is paused nothing can be listed or bought, and reopening makes unexpired listings buyable again at their old prices. A resale fails if what the Pock carries changes before it is included, and a listing ends if what the Pock carried at listing changes, for example if the seller claims, withdraws or spends after listing (anyone can push its airdrop once, which ends its listing once). A listing does not guarantee what the Pock carries; check the fields your wallet shows. A seller's accrued fees are paid or credited to the seller, but while the Stock issuer freezes a pool, that pool's uncollected fees follow the Pock to the buyer. A USDG freeze of the royalty vault halts resales. 29. **Donations to the sale are lost.** USDG sent directly to the sale contract (not as a bid, a whitelist claim or the team payment) can never be recovered. 30. **Assignment is stratified.** The 10,000 token numbers are cut, in order, into 1,666 groups of six and one group of four at a random position. Each group of six holds one Genesis Pock of each clan, and the group of four holds four different clans. Groups after the group of four are shifted by four (token numbers 6k + 5 to 6k + 10). The randomness decides where the group of four sits, which art recipes fill each group and their order within it, not the counts: four clans get 1,667 Genesis Pocks and two get 1,666. The team's ids 1 to 100 therefore get 16 or 17 of each clan. 31. **Everything else can fail:** the chain, wallets, the official sale page, RPC providers, oracles, keepers; gas costs or taxes larger than a small claim; delayed harvests; the PockStore and its interface; resale only through the PockStore (from its opening, and not while it is paused) or a direct transfer by the holder, and possibly no buyers at all; regulatory action or change; ordinary software and collectible risk. 32. **Whitelist escrow is locked, and claims are final.** A claim holds 250 USDG per unit from the claim until the price is fixed or the sale cancels. A whitelist unit costs the same clearing price as a public unit; it only reserves a unit for you. 33. **The whitelist was built by the operator.** One person may hold several spots through several game accounts, X accounts or wallets. Undeclared affiliates on the list cannot be detected on chain. The list is capped at 2,000 and published, and whitelisted addresses become public. 34. **Missed opening deadline.** If the sale is not opened by Sunday 4 October 2026, 01:00 UTC, it cannot open. A new sale would need new contracts and new terms. No buyer money is taken before opening. 35. **The team sleeve can run ahead and grows with every credited POCK burn.** Team POCK vests one for one with burn credit, with no stream, so the team's released fraction can run ahead of the other sleeves (section 13), and in year one the team can take up to about 40% of company releases. The team may also burn POCK it holds, including POCK from item fees. Each such burn earns credit like a holder's burn (0.5 per POCK when burned directly) and so raises its vested amount, though it gets back less POCK than it burns. Team selling of any POCK it holds is limited by the rule in section 13, to at most 399,996 POCK in total into the clan pools and 3,000,000 POCK over the counter. 36. **POCK/MOTE pool fee.** The pool's 3% fee is taken in MOTE and burned. 37. **Signing can burn MOTE.** After a Workshop sink is bound, a spend request you sign on a fake site can burn a Pock's MOTE (section 14a). The MOTE policy Safe can bind, retire and rebind sinks within fixed limits. 38. **The Workshop may never launch.** Workshop items would come from a random draw, trade only in the in-game item market with a 10% fee to the team vesting Safe (separate from the Genesis resale fee), could become unsellable if the in-game item market is paused or closed, and may have no value (section 14b). 39. **Level days and account limits.** The claimed-day thresholds for levels (3, 6, 9 and 12 claimed days) are set for daily Roam, and the number of level days a Pock collects can depend on how often Roam is settled on chain. Account limits can stop a holder of many Pocks from earning for every Pock: the game's 30 MOTE a day (and 210 per 7 days) per account above 10 Pocks, and the on-chain 425 MOTE a week above about 20 Pocks. 40. **Automatic payout is a service.** The daily payout can be late, paused or skip you; your fees then stay on the NFT and you can claim them. 41. **No emergency stop for MOTE.** MOTE withdrawals and the POCK/MOTE pool cannot be paused; a bug there could only be contained off chain. 42. **Fake sites and messages.** Scammers may copy the sale page or the PockStore, or send fake addresses. Use only the official sites, accounts and addresses in section 1. 43. **Models are not forecasts.** Every modelled figure in these terms comes from the operator's own model and can be wrong. 44. **The game is ours to run.** Playing, levelling and all MOTE earning depend on our game servers, our signer and our approver. We may change, pause or end them. A Genesis Pock's fee rights and POCK airdrop do not depend on the game. 45. **Team selling lowers the POCK price.** The team may sell up to 399,996 POCK into the clan pools, only under the rule in section 13. Our design aim is that this keeps POCK no more than 8% below where it would be with no team selling, at month-ends. It is not a guarantee. In our model no path of 17,001 went past 8%, but the worst came close (7.8%), and the gap can grow long after the last team sale. Nobody can observe the price without team selling, real pools can behave differently from our model, and our model covers only three years. 46. **The team's lock, sell rule and over-the-counter rules are commitments at launch.** The Genesis lock, the team sell rule and the over-the-counter rules are our commitments, checked by our monitor. A breach can be seen but not prevented, and its penalty is self-imposed. Outside checks cover only the listed team addresses; members' personal addresses are not published unless declared as insiders, and an undeclared team wallet cannot be detected on chain. Likewise, a purchase by a company wallet we have not published, or by the team from an unlisted address, would count as market buying and raise the team's allowance. The rules still bind the team from any address: a purchase of POCK by the team, or team POCK leaving outside the rules (including to a team member or affiliate), from an unlisted address is still a breach, even if nobody can see it. Team members and affiliates may buy, hold and sell POCK for themselves, with their own money, outside the team sell rule. That trading is not team trading and is not shown as team trading: their personal addresses are not published, their purchases count as market buying and can raise the team's allowance, their sales count toward no team limit, and they may know more about the team's and the company's plans than other holders do. Company buying, including the 70% resale buybacks, and the pools' buy-and-burns do not count as the market absorbing team POCK, but they still raise the price index that sets the team's ramp and limits. In a strong market, team sales could start within days of the pools opening. 47. **The daily allowance depends on our monitor.** If our monitor publishes a wrong allowance, the team could sell more than the rule allows before anyone recomputes it. Selling above the rule's allowance is still a breach. 48. **Over-the-counter POCK unlocks later.** The team may sell up to 3,000,000 POCK over the counter at up to 25% below the reference price. It is locked for at least 6 months and then released linearly, at most 150,000 POCK in any 30 days across all buyers. Buyers who paid less than the market price may sell as it unlocks. Our model does not include this selling. 49. **The whitelist claim window is only 10 minutes.** A claim counts only if it is included in a block from 12:50:00 UTC until 13:00:00 UTC on Sunday 4 October 2026 (section 4b). Network congestion or a slow wallet can make you miss it: a claim included later fails (you pay only gas), and your spot's unit is then sold in the public auction. ## 19. No promises and no advice Nothing here promises any yield, APY, dividend, token price, buyback price, level deadline, MOTE amount or resale floor. Nothing here promises that the Workshop will launch or that any item will have value. Nothing here is investment, legal or tax advice. Get your own advice before you bid or claim. ## 20. Taxes You are responsible for your own taxes. We give no tax advice and withhold nothing unless the law requires it. ## 21. Consumer rights Nothing in these terms limits consumer rights that the law does not let us exclude. ## 22. Changes and notices These terms cannot change after the sale contract is deployed, because their hash is fixed in it. Operational notices (for example the whitelist publication, a pause, the reveal, seeding progress, the start of Roam MOTE or the end of the free window) are posted in our official Telegram (https://t.me/+IUiiqrQLF7VlYjc1). They never change these terms. ## 23. How the terms hash is made `termsHash = keccak256(B)`, where `B` is every byte of the final version of this file exactly as published: UTF-8 without a byte-order mark, Unicode NFC, line feeds only, one final line feed, no tabs and no trailing spaces, and first line ``. The same bytes are published at https://genesis.stockpocks.com/terms/genesis-v6-buyer-terms.txt. The official sale page shows the text and its hash before you sign, and refuses to prepare a bid or a whitelist claim unless the hash equals the sale contract's `termsHash()`. You can check it yourself: `keccak256` of the downloaded file must equal `termsHash()` on the sale contract.
